Brief Description
OUR IDEAL CANDIDATE
We're looking for a detail-oriented Paralegal to support in-house transactional work. The role will report directly to the General Counsel and partner closely with Sales, Operations, Compliance, and Finance to ensure accurate records, efficient deal execution, and adherence to healthcare regulatory and data privacy requirements.
Responsibilities
Transactional Support: Draft, review, and negotiate NDAs, MSAs, SOWs, BAAs, and other agreements as needed with clients, vendors, and other parties. Assist the General Counsel as needed for additional transaction work. Establishing Legal Function: Help build up the company’s CLM (Ironclad) to work as the main legal function for each department. Create and maintain workflows and work with department stakeholders for training and development. Compliance and Policy Support: Work with Compliance to track regulatory deadlines and corporate compliance calendars, assist with policy updates and training logistics, support internal audits, and help implement process improvements. Assist in aligning transactions with HIPAA, HITECH, 42 C.F.R. Part 2 (as applicable), state privacy laws, and with privacy and security questionnaires, information governance reviews, and data mapping related to PHI/PII flows in the services. Third-Party Risk and Security Coordination: Facilitate vendor due diligence, monitor BAA obligations and subcontractor PHI access, track SOC 2/ISO certifications, and penetration test summaries for contract exhibits. Records and Contract Lifecycle Management: Own contract intake, triage, and playbook negotiation. Help manage clause libraries, approval workflows, and signature routing. Track renewals, auto-renewal notices, and key obligations (including restrictive covenants, insurance requirements, risk allocation, etc.), and support an audit-ready suppository for BAAs and data agreements. Cross-Functional Collaboration: Work with all departments and serve as a primary legal point of contact. Assist as needed to get projects and deals in a timely manner.

- Bachelor’s degree in business, Legal Studies, or a related field preferred; equivalent experience in business management, legal support, or healthcare reimbursement will also be considered.
- Minimum 2-3 years of experience working in the cost containment space with a compliance or legal team.
- Demonstrated ability to take full ownership of complex projects, including making independent decisions and managing ambiguity.
- Exceptional organization, a detail-oriented approach, and strong judgment and prioritization skills.
- Proven comfort with confidentiality and discretion.
- Ability to communicate effectively and in a timely manner with internal and external stakeholders, including senior leadership, vendors, and customers.
- Creative problem-solving skills and a solutions-first mindset; and
- Proficiency with Microsoft Office 365, Adobe Acrobat Pro, Docusign/AdobeSign, data rooms, and contract management software (e.g., Ironclad and CLIO)
