About the Position
Warner Norcross Judd LLP is seeking an experienced Corporate Attorney to join our Business Practice Group. This role focuses on ongoing corporate counseling, commercial transactions, and corporate governance matters. The ideal candidate will have significant experience advising clients on day-to-day business matters, drafting and negotiating complex commercial agreements, and a thorough knowledge of good corporate governance practices.
Key Responsibilities
- Advise clients on a wide range of general corporate matters, including entity formation, governance, and operational issues
- Draft, review, and negotiate commercial agreements such as vendor, customer, services, licensing, and confidentiality agreements
- Provide clear and practical legal advice to business and in-house legal teams regarding operational and contractual matters, including identifying legal risks and delivering pragmatic, business-focused solutions
- Support financing and internal restructuring transactions
- Maintain corporate records and assist with ongoing corporate compliance
- Partner with clients as a trusted advisor on ongoing legal needs
- Collaborate with attorneys across practice groups, including tax, labor and employment, and real estate
About You
- At least four years of substantive corporate or business law experience at a law firm or in an in-house legal department
- Significant experience in commercial contract drafting, review, and negotiation
- Strong exposure to general corporate counseling, including corporate governance and general corporate matters
- Experience working directly with clients and managing multiple matters independently
- Excellent drafting, negotiation, and analytical skills
- Ability to translate complex legal concepts into practical, business focused advice
- Exceptional organizational skills, responsiveness, and ability to manage multiple priorities
- A collaborative mindset and the ability to work effectively in a team-oriented environment
- J.D. from an accredited law school and admission in good standing in at least one U.S. jurisdiction
- Admission to the Michigan Bar, or the ability to become licensed in Michigan
