The Vylla Commercial Attorney will provide practical, business-focused legal counsel on commercial real estate matters, including acquisitions, dispositions, leasing, financing, development, title and survey review, and related corporate transactions. The position requires essential knowledge of underwriting requirements and analysis of requested policy endorsements on complex transactions that will be on purchase and refinance deals. Responsible for drafting and reviewing transaction documents; manages legal due diligence and closings; advises internal stakeholders on risk, compliance, and strategic alternatives; and coordinates with outside counsel and third parties. Perform all duties in accordance with company policies and procedures and all applicable federal, state, and local laws and regulations. The targe pay range for this position is $120,000-$175,000 based on level of experience, industry knowledge and other factors plus annual bonus. 

 

What you'll do:

 

  • Provide timely, practical legal advice on commercial real estate acquisitions, dispositions, leasing, financing, development, construction, property management, and asset administration.

  • Draft, review, and negotiate purchase and sale agreements, commercial leases and amendments, loan documents, easements, licenses, covenants, development agreements, service agreements, confidentiality agreements, estoppels, and subordination, non-disturbance, and attornment agreements.

  • Lead legal due diligence, including review of title commitments and exception documents, surveys, zoning and land-use materials, environmental reports, organizational documents, leases, service contracts, and other property records.

  • Identify, analyze, communicate, and help resolve legal and business risks affecting proposed transactions, ownership interests, property operations, and contractual obligations.

  • Manage transaction execution from initial structuring through closing, including review of issue lists, closing checklists, corporate approvals, certificates, notices, and other closing deliverables.

  • Partner with business leaders, finance, operations, tax, compliance, risk, and other stakeholders to develop legally sound, commercially practical solutions.

  • Coordinate and supervise outside counsel, title companies, surveyors, consultants, brokers, lenders, counterparties, and other transaction participants; monitor quality, cost, and deadlines.

  • Advise on ongoing contractual compliance, including critical dates, notice requirements, insurance provisions, tenant and landlord obligations, and post-closing commitments.

  • Research and monitor developments in commercial real estate law and applicable federal, state, and local requirements; recommend updates to templates, procedures, and risk controls.

  • Support real estate disputes, claims, and pre-litigation matters by preserving records, assessing exposure, developing strategy, and coordinating with litigation counsel as needed.

  • Maintain organized legal files, transaction records, form agreements, and status reporting while protecting privileged, proprietary, and confidential information.

  • Perform other duties as assigned.

 

What you'll need:

 

  • Juris Doctor degree from an accredited law school.

  • Active membership in good standing with at least one United States state bar; eligibility to practice in the applicable jurisdiction or obtain required in-house counsel registration.

  • Four plus (4 ) years of substantive commercial real estate experience in a law firm, corporate legal department, or comparable environment.

  • Demonstrated experience drafting and negotiating commercial real estate transaction documents and managing due diligence and closings. Experience in mortgage banking, financial services, title, servicing, or real estate operations is preferred.

  • Strong knowledge of commercial real estate transactions, leasing, title and survey matters, financing, entity structures, due diligence, and closing processes.

  • Excellent contract drafting, legal analysis, negotiation, issue-spotting, and risk-assessment skills.

  • Ability to translate complex legal concepts into clear, concise, and actionable business guidance.

  • Sound judgment and the ability to balance legal risk, business objectives, operational needs, and transaction timelines.

  • Strong project-management and organizational skills, with the ability to prioritize multiple sophisticated matters and meet demanding deadlines.

  • Ability to work independently, exercise discretion, and collaborate effectively with executives, business partners, external counsel, and counterparties.

  • Meticulous attention to detail and a commitment to accuracy, responsiveness, professional ethics, and client service.

  • Proficiency with Microsoft Office and legal research, contract-management, document-management, and electronic-signature tools.
