This position is located in DFC's Office of the General Counsel (OGC). The successful candidate will serve as an Assistant General Counsel and advise on the legal and policy aspects of DFC's energy, infrastructure, and other finance programs.

This is an open continuous announcement and will be used to fill vacancies with interested and qualified applicants ready to be certified for current and future vacancies.

Additional cut-off dates will occur April 7, April 14, April 21, April 28, May 5, May 12, and May 19, 2026.

BASIC REQUIREMENT

Applicants must (1) be a graduate of an accredited law school with an LL.B. or J.D.; and (2) be a current member of a bar with a valid license to practice law in a state, territory of the United States, District of Columbia, or Commonwealth of Puerto Rico. If selected, an official law school transcript and proof of an active bar membership will be required.

ADDITIONAL REQUIREMENT
In addition to the Basic Requirement listed above, you must meet the required specialized experience listed below.

You may qualify at the GS-14 level, if you meet the following qualification requirement: At least three years of full-time professional legal experience gained after being admitted to the bar. The minimum three-year work experience requirement includes at least two years of specialized experience that is directly related to the position being filled. At least one of the two years of specialized experience must be at a level of difficulty and responsibility equivalent to that of an attorney at the GS-13 level.

You may qualify at the GS-15 level, if you meet the following qualification requirement: At least five years of full-time professional legal experience gained after being admitted to the bar. The minimum five-year work experience requirement includes at least four years of specialized experience that is directly related to the position being filled. At least two of the four years of specialized experience must be at a level of difficulty and responsibility equivalent to that of an attorney at the GS-14 level.

Specialized experience is defined as experience advising on legal and policy matters in the areas of finance (including project finance and/or corporate loans) in the context of negotiating and documenting transactions for cross-border projects in emerging markets, whether directly or through the supervision of outside counsel.

Experience refers to paid and unpaid experience, including volunteer work done through National Service programs (e.g., Peace Corps, AmeriCorps) and other organizations (e.g., professional; philanthropic; religious; spiritual; community, student, social). Volunteer work helps build critical competencies, knowledge, and skills and can provide valuable training and experience that translates directly to paid employment. You will receive credit for all qualifying experience, including volunteer experience.

Responsibilities:

The U.S. International Development Finance Corporation (DFC), established in 2019 with bipartisan support under President Trump, is America's development finance institution. DFC partners with the private sector to advance U.S. foreign policy and strengthen national security by mobilizing private capital around the world. DFC invests across strategic sectors including critical minerals, modern infrastructure, and advanced technology - fostering economic development, supporting U.S. interests, and delivering returns to American taxpayers.

As an Assistant General Counsel (Finance) you will work with DFC's business teams to:
  • Structure, diligence, negotiate and document complex, multi-million-dollar international transactions, with a focus on large energy and infrastructure projects in the power, critical minerals, telecommunications, oil and gas, transport, and manufacturing and service industries. Recent transactions include:
    • a $565 million financing for a Brazilian rare earth's mine with equity upside; and
    • a $550 million loan to upgrade the 1,300km Lobito Atlantic Railway in Angola.
  • Manage disbursements and monitor and restructure existing transactions across the globe.
  • Serve as "first chair" in negotiations with borrowers, sponsors, multilateral development banks, development finance institutions, export credit agencies, and commercial lenders.
  • Advise on a wide range of matters including finance agreements for senior, mezzanine and convertible debt, project completion or project support agreements, warrants, guarantees, pledges, mortgages, assignments, collateral trust agreements, project documents, engineering and procurement agreements, and construction agreements involving foreign governments, other parastatals, developers, and multinational corporations.
  • Analyze foreign and international law issues, advise on corporate matters and issues relating to collateral, intercreditor arrangements, jurisdiction, dispute resolution and DFC policy matters.
  • Manage outside counsel.
