Project Description

UHY Resource Solutions is seeking a Senior Accounting Consultant with strong GAAP expertise and proven experience supporting divestitures or similar transactions. This role is suited for a high-level resource who can step into a fast-moving environment, assess priorities quickly, and drive execution across critical accounting workstreams.

The consultant will partner directly with accounting leadership to support transaction-related activities, TSA requirements, audit readiness, and ongoing close responsibilities while helping bring structure and focus to a team under pressure.

Key Responsibilities

• Support accounting leadership through active divestiture/carve-out activities and drive execution of deliverables aligned to transaction timelines and TSA obligations
• Prepare carve-out financial statements (P&L, Balance Sheet, Cash Flow), including allocation of shared costs and separation of intercompany accounts
• Support buy-side and sell-side due diligence by managing data rooms, responding to requests, and assisting with Quality of Earnings (QoE) analysis
• Calculate gain/loss on divestitures and analyze working capital adjustments and overall deal impacts
• Prepare pro forma financials and support discontinued operations reporting (ASC 205-20 / IFRS 5) and SEC disclosures
• Assess separation impacts across systems, processes, balances, and financial reporting
• Partner with tax on deal structuring and evaluate financial/tax implications of transactions
• Support Transition Service Agreements (TSAs) and coordinate separation of systems, processes, and controls across functions
• Coordinate and track workstreams across accounting, FP&A, audit, and external stakeholders to ensure alignment and execution
• Work cross-functionally with IT, HR, Legal, FP&A, and external auditors to support transaction execution and audit readiness
• Ensure GAAP compliance, SOX/internal controls, and maintain documentation for all transaction and reporting activities
• Act as a central point of coordination, bringing structure to complex environments and ensuring priorities and deadlines are met
• Perform ad hoc financial analysis related to divestitures and business separations

Skills And Qualifications

• Bachelor’s degree in accounting or finance; CPA or MBA preferred
• 10 years of hands-on accounting experience with a strong focus on reconciliations and month-end close
• Direct experience supporting a divestiture, carve out, or major transaction is required
• Strong understanding of TSA environments and Day 1 and Day 2 separation challenges
• Ability to quickly assess what matters versus noise in a high pressure setting
• Proven track record of stepping into ambiguous situations and driving execution
• Comfortable operating without structure and building it as you go
• Strong GAAP and technical accounting foundation
• Deep understanding of general ledger accounting and financial statement accuracy
• Strong experience preparing journal entries and performing account analysis
• Advanced Excel skills (VLOOKUP, pivot tables, macros, formulas)
• Able to work independently and dive into detailed, high-volume reconciliations

Prior consulting or project-based experience is a plus
