DESCRIPTION

Manage and conduct the independent review and analysis of all OIC financial actions relating to Patent licenses, Copyright agreements, Material Transfer agreements, Memos of Understanding and Inter-Institution agreements. Make recommendations regarding license management to the Associate Vice Chancellor, Associate Directors, Managers, and Senior Licensing Officers. Analyze and research complex license agreement history and compliance, conduct responsible and efficient analysis on a University-wide basis.

Interact with licensee representatives and licensing officers to obtain and evaluate information used to assess need and type of remedial action. Enforce compliance of all license agreement terms and track all license term requirements. Manage equity agreements and compile required documentation in accordance with UC San Diego equity approval policies. Analyze stock purchase agreements for appropriate language. Review and evaluate confidential documents regarding licensing, royalty reporting and compensation of faculty to ensure consistency and adherence to UC policies. Coordinate proxy vote with Treasurer of the Regents for all equity agreements.

Respond to contacts by drafting and preparing appropriate agreements: Material Transfer, Beta Test and Bailments. Manage portfolio of tangible research material. Design and prepare complex summary and detail reports for Directors and Associate Directors for fiscal year reporting and budget analysis. Collaborate in preparation of office publications, informational literature and promotional material upon request. Provide information to diverse groups about technology transfer policies, intellectual property concepts, marketing activities and contract issues. Recommend and implement internal controls to satisfy the requirements of SAS112.

Hybrid work schedule: Expected to work on campus 1 to 3 days per month.

QUALIFICATIONS
  • Bachelor's degree in related area and/or equivalent experience/training.

  • Thorough education and/or training and experience demonstrating the ability to interpret complex legal documents, such as license agreements and stock purchase agreements and reduce the material terms to a trackable form of data. Thorough knowledge of general contract terms. Excellent reading and comprehension skills to understand and interpret complex material, contracts and documents, including research agreements and legal records.

  • Knowledge of common organization- or research-specific and other computer application programs. Excellent database and information management skills. Demonstrated ability to learn new software programs with knowledge of relational databases. Excellent skill in use of typical business software: word processing, spreadsheets, database, internet/online searching, presentation applications, and imaging software for file conversion.

  • Strong skills in analyzing, researching and synthesizing large amounts of data for preparing sound and relevant proposals / analyses. Demonstrated ability to monitor and meet deadlines required by Licenses. Ability to prioritize tasks and organize time to effectively.

  • Analytical / problem-solving skills. Ability to research, analyze, compile, organize and present information relevant to inventions in a consultant-like manner.

  • Experience with using policy analysis techniques. Knowledge and understanding of intellectual property contract concepts.

  • Experience applying technical knowledge, judgement and license information to the determination and performance of relevant tasks for the invention.

  • Strong critical thinking and applied problem-solving skills to research and analyze the complex information and/or problems in an objective manner. Strong analytical skills to anticipate and forecast impact of potential actions. Proven ability to develop logical conclusions and to recommend sound and creative solutions. Ability to learn and synthesize information quickly from a variety of sources and make recommendations for action

  • Ability to multi-task with demanding timeframes.

  • Strong organization and negotiation skills. Demonstrated experience in maintaining a high degree of accuracy and attention to detail under the pressure of deadlines, while working with constant interruptions. Skill to maintain composure and sustain effective performance under heavy workloads and conflicting priorities or demands.

  • Ability to organize, implement and maintain an orderly administrative record system for easy retrieval and reference, including hard copy and electronic documents.

  • Strong communication and interpersonal skills to communicate effectively, both verbally and in writing. Effective writing skills, including knowledge of correct usage of English language, grammar, punctuation, and spelling. Proven ability to prepare and edit correspondence from drafts to final products independently.Ability to interact diplomatically with inventors, corporate contacts, legal contacts and other University personnel.Demonstrated refined interpersonal skills to be able to act as liaison between OIC and UCOP regarding equity and legal issues related to license compliance.

  • Ability to use discretion and maintain all confidentiality. Ability to tactfully interact with licensee representatives to obtain information related to agreement performance and debt collection.
    Ability to handle confidential information including proprietary technical and commercial information that has great investment value and conflict of interest potential.

  • Proven experience exercising independent judgment to handle sensitive, difficult, or confidential matters with discretion, good judgment, tact and diplomacy. Ability to maintain a professional attitude during interactions with a wide variety of personalities in demanding situations.

  • Strong interest in the commercialization of University technology.

  • Ability to draft and prepare appropriate agreements: Material Transfer and Bailments.

Pay Transparency Act

Annual Full Pay Range: $71,600 - $127,400 (will be prorated if the appointment percentage is less than 100%)

Hourly Equivalent: $34.29 - $61.02

Factors in determining the appropriate compensation for a role include experience, skills, knowledge, abilities, education, licensure and certifications, and other business and organizational needs. The Hiring Pay Scale referenced in the job posting is the budgeted salary or hourly range that the University reasonably expects to pay for this position. The Annual Full Pay Range may be broader than what the University anticipates to pay for this position, based on internal equity, budget, and collective bargaining agreements (when applicable).
