Paralegal

Trustpoint.One is assisting an AM-100 law firm in seeking an experienced Corporate Paralegal to join their location in Orlando, FL on a direct-hire basis. This role will require a hybrid model.

Responsibilities of the Corporate Paralegal

• Manage multiple deals simultaneously creating and maintaining checklists, tracking deadlines, and coordinating with various parties such as local government agencies, transaction party counsels, architects, surveyors, clients, lenders, and other financing entities.
• Drafting and preparing legal opinions, corporate resolutions, loan documents, and other corporate and financial documentation
• Preparing correspondence and documentation for clients, parties, professionals, and colleagues.
• Coordinate all releases and satisfactions required for title issuance on financings
• Work closely with real estate colleagues to ensure a smooth all-around closing process and review and facilitate the execution of all transaction documents prepared by third-party lenders and investors, such as financial institutions, tax credit syndicators, Federal Home Loan Mortgage Corporation, Fannie Mae, etc.
• Prepare closing documents, agreements, and legal opinions, including all corporate authorization documents and other support documentation, and facilitate attorney review for transactional matters review transaction documents for clauses related to client questions, such as consent and termination requirements.
• Coordinating all aspects of corporate due diligence and forming and organizing business entities in various states, ensuring compliance with respective Secretaries of State.

Qualifications of the Corporate Paralegal:

• Bachelor’s degree and a paralegal certificate from an ABA-approved program are preferred
• 3-5 years of experience in Corporate Law, Commercial Real Estate Law or Business Law
• Excellent written and oral communication skills
• Ability to work under pressure and to meet strict deadlines
• Excellent attention to detail
