What are the responsibilities and job description for the Associate Counsel position at True Title Company, LLC?
Purpose: The Associate Counsel for True Title Company, LLC (and its subsidiaries and affiliated entities) (“TTC”) shall provide underwriting support to TTC team members, stay apprised of the current statutory, regulatory & case law climate as it relates to real estate sector generally and title insurance particularly, and provide ongoing guidance to TTC management to minimize TTC’s risks from claims, losses and other risks. In addition, the Associate Counsel will work with TTC’s affiliate, Title Exchange Services, LLC, (“TES”) to manage our clients’ Section 1031 Exchanges. Will actively work with team members and clients to ensure the best overall problem-solving and customer service in the Missouri, Illinois and Colorado title industry.
Primary Duties & Responsibilities
Some or all of the following duties & responsibilities may be assigned to the Employee as business needs dictate:
Provide underwriting support to TTC team members, including review of surveys, powers of attorney, trusts, entity documents and other closing-related documents;
Prepare certain documents required for closing/title insurance outside the scope of escrow closers, such as escrow agreements, disbursing agreements, deeds and closing affidavits;
Stay apprised of underwriting, industry, regulatory & statutory changes within Missouri, Illinois & Colorado and provide TTC team members with guidance on such issues as they arise;
Work with TTC team members in the resolution/cure of title defects on closing and title files;
Prepare and deliver internal approved Continuing Education courses to TTC team members (and occasional education courses to clients, including real estate agents and attorneys);
Perform legal research on special projects as requested by president and/or general counsel and/or associate general counsel;
Manage Section 1031 tax-deferred exchanges in TES’ capacity as a qualified intermediary, including the following matters:
- Prepare the necessary documentation to ensure compliance with Section 1031 and Internal Revenue Service guidance for all forms of exchanges (standard, reverse, improvement & hybrid);
- Stay abreast of IRS regulations, opinions and rulings as they relate to Section 1031;
- Provide TTC & TES customers with appropriate guidance and customer service throughout the 1031 exchange process, managing timelines and funding transactions accordingly;
- With the company president, manage and revise (as necessary) the QI’s applicable 1031 documentation.

Job Requirements
- Juris Doctor (JD) from an accredited law school.
- If not yet obtained, work toward admission to the Missouri, Colorado & Illinois bars with active licensure.
- Strong customer service and problem-solving skills.
- Proficiency with legal research tools such as LexisNexis and Westlaw.
- Excellent research skills combined with strong writing abilities for drafting legal documents.
- Proficiency in MS Office applications (Word, Excel), as well as title insurance software and/or mortgage loan closing software.
- Strong negotiation skills and the ability to analyze complex legal issues critically.

Terms
- Salary Range: $72,000 - $96,000 / year
- Non-exempt, full time, Monday – Friday; flexible hours available;
