Position Summary
We are looking for a Corporate Counsel / Senior Corporate Counsel with 4–7 years of relevant legal experience to support a broad range of commercial, project development, and corporate matters. This role will work closely with internal business teams on key agreements and legal issues across the project lifecycle, with a particular emphasis on leasing, master services agreements, supply agreements, service agreements, and corporate governance. Experience with M&A transactions and EPC contracts is a strong plus.
The ideal candidate is a responsive, detail-oriented attorney who can balance legal risk with business objectives in a fast-paced, collaborative environment, with limited day-to-day oversight from the General Counsel.
Key Responsibilities
- Draft, review, negotiate, and manage a wide range of commercial agreements, including:
- Site control and leasing agreements, amendments, easements, access agreements, and related real estate documents
- Master Services Agreements (MSAs), and consulting agreements
- Procurement Agreements, including equipment supply agreements and construction services agreements
- Non-Disclosure Agreements (NDAs) and other confidentiality arrangements
- Advise business teams on legal issues arising in connection with project development, procurement, and commercial operations
- Support corporate governance matters, including entity formation and maintenance, board and shareholder approvals, resolutions, and internal corporate records
- Assist in developing and improving contract templates, negotiation playbooks, and internal legal processes
- Provide legal support for cross-functional stakeholders, including development, finance, procurement, and operations teams
- Identify legal and commercial risks and propose practical mitigation strategies
- Support due diligence, transaction management, and closing activities for M&A, divestitures, joint ventures, and strategic investments, as needed
- Review and negotiate EPC contracts and related project construction documentation, as needed
- Manage outside counsel efficiently and cost-effectively when appropriate
- Help ensure compliance with company policies and applicable laws and regulations
Qualifications
- J.D. from an accredited law school and active membership in good standing in at least one U.S. state bar
- 4–7 years of legal experience, preferably with a mix of law firm and in-house experience
- Meaningful experience drafting and negotiating: Leasing and site control agreements; MSAs and other commercial/vendor supply and services contracts; NDAs; Corporate governance documentation
- Strong contract drafting and negotiation skills with the ability to work independently on routine and complex matters
- Ability to provide practical, business-focused legal advice in a dynamic environment
- Strong organizational skills and ability to manage multiple priorities simultaneously
- Excellent written, verbal, and interpersonal communication skills
Preferred Qualifications
- Experience in the renewable energy, infrastructure, or power sector
- Expertise with the legal issues that arise in project development and construction
- Experience with M&A transactions, including due diligence and transaction document support
- Experience reviewing and negotiating EPC agreements
- Exposure to project finance, offtake, or interconnection matters is a plus
Title and Level: Title will be commensurate with experience. Candidates with deeper subject matter expertise, greater autonomy, and substantial transaction responsibility may be considered for Senior Corporate Counsel.
Physical Demands: Customary for Office Work.
Travel: As required for contractual negotiations (estimated at 10%).
