SUMMARY DESCRIPTION The Contract Analyst is responsible for assisting the Contracts Manager in reviewing and preparing initial drafts of certain contracts. Duties also include supporting the Contract Associate in proactively monitoring the contract portfolio/queue in Workday, which requires great attention to detail, and corresponding with staff across the Foundation to correct/clarify information or back-up documentation. Logging in each contract and amendment request into an offline tracking spreadsheet that is saved in iManage. Reviews the list not less than twice a day with the Contracts Manager, Contract Analyst , Contracts Associate (“Contracts Team”), and with attorneys when requested. The Contract Analyst also works with staff on upcoming renewals and extensions. RESPONSIBILITIES Principal duties and responsibilities, including but not limited to: Prepares drafts of certain contracts including MSAs, Statements of Work, Orders Forms, Non-Disclosure Agreements, and related amendments for review by the Contracts Manager, requesting staff members and Foundation attorneys. Reviews and negotiates redlines to the Foundation’s standard agreements. Uses Foundation templates, playbooks, and systems to support the tasks above and escalate concerns for attorney review as appropriate. Applies contracting principles in reviewing and redlining contracts. Assures that contractual terms and provisions follow Foundation processes, guidelines, and policies. Liaises with departments requesting contracts to understand their projects, goals, project description and ensures all requirements are accurately reflected in each contract. Escalates to the appropriate decision maker when significant legal or financial risk is identified. Supports the Contracts Team on a range of contracts and matters, including arranging for execution of contracts (as needed); and obtaining and maintaining current insurance certificates (as needed) and sexual harassment prevention training certificates. Supports process improvement work, identifying opportunities to streamline processes, and improve playbooks and templates where appropriate Conducts other projects and oversees other matters as assigned by the Contracts Manager or attorneys including providing support staff coverage for the Office of Legal Services on an as needed basis. Assists in training staff members on initiating contract-related requests through the automated contract management system, including providing guidance (i.e. setting up individual meetings, when needed) on how to fill out the online contract questionnaires and service and goods lines; and assists the Contracts Manager in the preparation of related training materials. Assists with the maintenance of the contracts management system to store contracts and related documents. QUALIFICATIONS Bachelor’s degree in a related field and a minimum 4 years of contract or procurement related experience. Prior paralegal experience in not-for-profit, tax, or corporate law, including work with contracts. Strong organizational skills, analytical focus and attention to detail. Ability to work well under pressure and to manage multiple conflicting priorities in a busy environment. Self-starter, ability to work under minimal supervision, to work well with others, awareness of when to engage other colleagues, and to prioritize and follow-through on work assignments independently. Outstanding judgment and discretion handling confidential information. Excellent communication skills required. Superior interpersonal and administrative skills required. Proficient in MSOffice (Microsoft Word, Excel and PowerPoint) and Google Workspace. Respect for confidentiality and discretion required. PHYSICAL REQUIREMENTS This position is primarily a sedentary role. However, the person in this position may need to occasionally move about inside the office to liaise with internal staff, access files, office machinery and a copy machine/printer. Additionally, domestic/international travel will be expected, approximately 20% of working time. Some travel is directly related to grantmaking, but also required to attend team conferences, retreats and meetings. SALARY: The Ford Foundation is committed to practicing salary transparency. The minimum salary for this position is $96,000 and the maximum is $111,000. LOCATION: This position is based in the foundation’s New York office.
