What are the responsibilities and job description for the Legal Counsel position at The Carmen Flores Canchola Trust?
Seeking experienced outside counsel to review and advise on a branded motor-fuel supply agreement. This paid, project-based engagement focuses on contract analysis, risk assessment, and negotiation, not litigation.
Scope of Work
- Review the current agreement and the proposed renewal or replacement.
- Assess minimum-volume commitments, liquidated damages, incentive repayment, early termination provisions, and other potential financial exposures.
- Analyze relevant Petroleum Marketing Practices Act (PMPA) issues and applicable Arizona contract law.
- Evaluate contractual consequences if the retail location is subject to government acquisition or taking.
- Recommend protective contract language and practical negotiation strategies.
- Provide a concise written assessment and consult with the client.
This engagement does not currently include litigation or representation in condemnation proceedings.
Preferred Qualifications
- Significant experience representing retail fuel dealers or franchisees.
- Direct experience reviewing and negotiating branded motor-fuel supply agreements.
- Familiarity with the PMPA, minimum purchase requirements, liquidated damages, and dealer termination rights.
- Admission to practice in Arizona.
- Experience with government acquisition or condemnation-related contract consequences is prefered but not necessary.
Fee Arrangement
A fixed-fee or capped-fee proposal is preferred. The engagement will begin after an initial conflict check.
