Legal Counsel – Americas (Corporate, Commercial, M&A)
Location: Remote with frequent travel throughout the US. Ideal candidates will be located in a major metropolitan area.
A global professional services firm specializing in sustainability solutions is seeking a Legal Counsel to support its growing Americas business. This is an exciting opportunity to join a purpose-driven organization with a strong international presence and a track record of significant expansion across North, Central, and South America.
As a key member of the regional legal team, you will partner with senior leadership across Finance, Commercial, and M&A to enable strategic growth while managing legal risk. Reporting to the Head of Legal – Americas, this role offers high visibility, autonomy, and the chance to influence key business decisions in a fast-paced, collaborative environment.
Key Responsibilities
• Draft, review, and negotiate a wide range of commercial agreements, including:
○ Client and vendor contracts
○ Confidentiality and data protection agreements
○ Engagement letters and purchasing agreements
• Support bids and tenders and maintain up-to-date contract templates
• Advise on corporate governance matters, including board and shareholder resolutions
• Assist with reorganizations and integrations, including mergers and asset transfers
• Provide legal support for M&A transactions, including due diligence and post-acquisition documentation
• Monitor new legislation and update compliance policies and training programs
• Manage external counsel relationships and oversee litigation reporting
• Support IP matters, including trademark filings
• Collaborate with HR on employment-related issues
Candidate Profile
• 5 years of experience gained at a top law firm and in-house
• Strong background in commercial contracts and corporate law
• Experience with M&A transactions and compliance matters
• Familiarity with U.S. legal frameworks; international experience is a plus
• Ability to manage multiple priorities in a fast-paced environment
• Pragmatic, commercially minded, and solutions-oriented
• Strong interpersonal and communication skills, with the ability to build trust across teams
• Spanish or other language skills are desirable
