We're a privately-held group of companies spanning professional services, technology/SaaS, and consumer-facing marketing, with a growing multi-entity corporate structure and international operations. We're hiring our **first in-house attorney** to be the legal backbone of the organization — the person who keeps every entity clean, every contract sound, and every filing on time, while coordinating specialized outside counsel on the matters that need deeper expertise.
This is a rare opportunity to build the legal function from the ground up, report directly to ownership, and get broad exposure across corporate, IP, contracts, compliance, and international coordination — without the billable-hour grind of firm life.
What You'll Do
Corporate & Entity Management
- Manage formation, governance, and ongoing maintenance for a multi-entity corporate group (Articles/bylaws, board and member consents, annual reports, registered agents, cap table and stock issuance records)
- Maintain the compliance calendar across all entities and jurisdictions — nothing slips
- Support entity restructuring projects (new subsidiaries, ownership reorganizations, intercompany transfers) alongside outside corporate/tax counsel
Contracts & Transactions
- Draft, review, and negotiate a wide range of agreements: vendor contracts, NDAs, service agreements, licensing agreements, employment-related documents, and intercompany agreements between affiliated entities
- Own the contract lifecycle — templates, redlines, execution tracking, renewal management
Intellectual Property
- Manage the trademark portfolio's routine filings, monitoring, and renewals
- Coordinate with outside IP counsel on prosecution, office actions, and enforcement matters
- Support IP assignment and chain-of-title documentation for proprietary technology and brand assets
Compliance & Risk
- Own corporate separateness practices across affiliated entities (documentation discipline that protects liability walls between businesses)
- Support HR/employment compliance across multiple jurisdictions, working with local counsel where needed
- Flag emerging legal/regulatory risk before it becomes a problem
Outside Counsel & Specialist Coordination
- Serve as the point person who identifies when a matter needs specialized outside counsel (tax structuring, international law, complex litigation, M&A) and manages that relationship end-to-end
- Translate specialist advice into plain-language recommendations for leadership
- Manage outside counsel budgets and engagement scope
What We're Looking For
- Active member of the Florida Bar in good standing
- 1–3 years of experience — corporate, transactional, or compliance-focused practice preferred; litigation backgrounds with strong writing/research skills also considered
- Sharp contract drafting and legal research skills
- Comfortable saying "this needs a specialist" — knowing the edges of your expertise is a strength here, not a weakness
- Highly organized self-starter, comfortable owning a broad and genuinely varied docket
- Interest in a generalist corporate practice with international exposure

Compensation & Benefits
