General Counsel

We are seeking a highly accomplished General Counsel with extensive experience leading and closing complex transactions in the renewable energy and infrastructure sector, to serve as a strategic partner to executive leadership and a key architect of long-term growth.

Position Overview

The General Counsel will lead all legal functions across a distributed energy and infrastructure platform, supporting growth across solar, battery storage, EV infrastructure, and microgrid solutions.

This individual will own the company’s legal strategy end-to-end, bringing deep expertise across commercial contracting, project finance, and corporate matters. They will operate as a senior advisor to executive leadership and the Board, oversee sophisticated financing structures, lead negotiations on critical commercial agreements, and manage external counsel across complex transactions.

The role requires building and scaling a best-in-class legal function, ensuring alignment with business objectives, capital markets expectations, and long-term corporate positioning.

Key Responsibilities

Legal Strategy & Leadership

• Lead and define the company’s legal strategy, aligned with growth objectives and capital markets expectations

• Serve as a trusted advisor to executive leadership and the Board on legal, regulatory, and risk matters

• Build, lead, and scale an internal legal function, including hiring, processes, and governance frameworks

Negotiation & Contract Management

• Lead negotiation of all major commercial agreements, including customer, vendor, EPC, and partnership contracts

• Establish contract standards and oversee lifecycle management across the organization

Offtake & Commercial Agreements

• Structure, draft, and negotiate offtake agreements, including power purchase agreements, tolling arrangements, and energy supply contracts

• Develop scalable contracting playbooks to support platform growth

Financing & Capital Markets (including Tax Equity)

• Lead legal structuring and execution of debt, tax equity, and other project financing transactions

• Partner with investors, lenders, and capital providers on complex financing arrangements

• Oversee negotiation of partnership agreements, credit facilities, and related documentation

M&A and Strategic Transactions

• Lead all legal aspects of acquisitions, joint ventures, and strategic partnerships

• Oversee diligence, structuring, negotiation, and execution of transactions

Transaction Execution & Closing

• Oversee end-to-end execution of development, financing, and acquisition transactions

• Coordinate internal teams and external advisors to ensure timely closings

Corporate Governance & Internal Legal Matters

• Oversee corporate governance, entity structuring, and Board-related matters, including Company Secretary responsibilities

• Advise on HR, insurance, compliance, and internal business matters

• Design scalable corporate structures to support growth

Compliance & Risk Management

• Establish and oversee company-wide compliance frameworks across regulatory, tax, and environmental requirements

• Monitor legal and regulatory developments and implement proactive risk management strategies

Stakeholder Engagement

• Serve as primary legal interface with investors, lenders, regulators, and external partners

• Manage external counsel relationships to ensure high-quality and cost-effective support

Qualifications & Experience

• Juris Doctor degree and active bar membership in good standing

• 12 years of legal experience, with significant exposure to renewable energy, infrastructure, or project finance

• Deep expertise in tax equity, structured finance, M&A, and complex commercial contracting

• Demonstrated experience advising executive leadership and operating at a senior strategic level

• Proven ability to build and lead high-performing legal teams

• Strong commercial judgment with the ability to balance legal risk and business objectives

• Experience managing external counsel across multiple workstreams

• Hybrid or remote, with preference for candidates aligned with U.S. Eastern Time
