Key Responsibilities:
- Assist in the preparation, editing, and finalization of legal documents related to M&A transactions, including purchase agreements, confidentiality agreements, and closing documents.
- Conduct legal research and gather relevant information to support corporate transactions and compliance matters.
- Coordinate and assist with due diligence processes, including the organization and management of data rooms.
- Maintain corporate records, including minute books, resolutions, and other governance documents.
- Support the legal team in ensuring compliance with corporate policies and regulations.
- Liaise with internal and external parties, including legal counsel, clients, and regulatory bodies.
- Assist in drafting and reviewing corporate resolutions, board meeting minutes, and other corporate documentation.
- Schedule and coordinate meetings, conference calls, and other communication for the legal team.
- Provide administrative support, including filing, document management, and correspondence.
Qualifications:
- Bachelor's degree or equivalent experience in a legal or related field.
- Minimum of 5 years of experience as a legal assistant or paralegal, with a focus on corporate and M&A law.
- Proficiency in legal research tools and database management.
- Strong organizational skills with attention to detail and the ability to manage multiple tasks.
- Excellent written and verbal communication skills.
- Proficiency in Microsoft Office Suite and legal research software.
- Familiarity with corporate governance, compliance, and regulatory requirements.
- Ability to work independently and collaboratively in a fast-paced environment.
