Position Overview:
The Senior Corporate Paralegal will oversee U.S. entity management, regulatory filings, board meeting administration, and corporate governance support while collaborating with internal teams and external regulators.
Key Responsibilities:
- Manage U.S. entity registrations, licenses, and annual reports.
- Prepare insurance regulatory filings and liaise with state regulators.
- Support financial reporting, independent auditors, and corporate governance initiatives.
- Assist with M&A transactions, including NDAs, document preparation, and post-merger integration.
- Coordinate U.S. Board of Directors meetings, including agenda preparation, resolutions, and minutes.
- Maintain corporate records and implement governance best practices.
- Provide support to investment management counsel and transactional matters.
Qualifications:
- Bachelor’s Degree with 5-10 years of corporate legal experience.
- Insurance/financial services industry experience preferred.
- Strong knowledge of corporate governance and board administration (Diligent BoardBooks experience a plus).
- Familiarity with relevant regulations and ability to conduct legal research.
- Highly organized, detail-oriented, and proactive in project management.
- Strong interpersonal and communication skills for cross-functional collaboration.
- Ability to work independently and manage multiple priorities in a fast-paced environment.
Salary : $115,000 - $150,000
