Overview
Lead paralegal role supporting Corporate & Securities practice (M&A, finance, capital markets) with a strong focus on leveraged finance. This is a working manager position: you’ll handle complex deal work while supervising and training junior paralegals.
Key Responsibilities
- Deal Support:
- Conduct and review UCC/lien searches; draft summary charts.
- Prepare, review, and file UCC filings; maintain tickler system for amendments and continuations.
- Assist with entity formation, organizational documents, and statutory filings (mergers, conversions, dissolutions).
- Draft resolutions, certificates, schedules, and closing documents; assist with due diligence.
Program Management:
- Supervise and train junior paralegals on UCC and corporate processes.
- Manage assignments and workflow for the paralegal team.
- Support performance reviews and foster professional development.
Qualifications
- 7 years’ experience as a corporate paralegal in a law firm (required).
- Strong proficiency with UCC filings, searches, and lien requirements.
- Deep understanding of leveraged finance transactions.
- Bachelor’s degree and/or Paralegal Certificate.
- Excellent organizational, communication, and problem-solving skills.
- Ability to manage multiple priorities in a fast-paced environment.
- Proficiency in Microsoft Office and document management systems.
Salary : $100,000 - $140,000
