Overview

Lead paralegal role supporting Corporate & Securities practice (M&A, finance, capital markets) with a strong focus on leveraged finance. This is a working manager position: you’ll handle complex deal work while supervising and training junior paralegals.

Key Responsibilities

• Deal Support:
• Conduct and review UCC/lien searches; draft summary charts.
• Prepare, review, and file UCC filings; maintain tickler system for amendments and continuations.
• Assist with entity formation, organizational documents, and statutory filings (mergers, conversions, dissolutions).
• Draft resolutions, certificates, schedules, and closing documents; assist with due diligence.

Program Management:

• Supervise and train junior paralegals on UCC and corporate processes.
• Manage assignments and workflow for the paralegal team.
• Support performance reviews and foster professional development.

Qualifications

• 7 years’ experience as a corporate paralegal in a law firm (required).
• Strong proficiency with UCC filings, searches, and lien requirements.
• Deep understanding of leveraged finance transactions.
• Bachelor’s degree and/or Paralegal Certificate.
• Excellent organizational, communication, and problem-solving skills.
• Ability to manage multiple priorities in a fast-paced environment.
• Proficiency in Microsoft Office and document management systems.
