Corporate Attorney - Commercial

Description

Spectra Logic is seeking a practical, business-minded Corporate Attorney - Commercial to support commercial growth, product contracting, and supply chain operations while helping the business move efficiently and manage legal risk. This role partners closely with Sales, Marketing, Procurement, Operations, Engineering, Finance, and leadership to provide clear, solutions-oriented legal guidance.

Location: Hybrid (3 days/week in Boulder, CO)

Reports to: Corporate Attorney & Corporate Secretary

Key Responsibilities

• Draft, review, negotiate, and manage a broad range of commercial agreements, including customer, supplier, vendor, software licensing, services, reseller, distributor, OEM, and strategic partnership agreements.
• Support sales and revenue-generating transactions, including international ones, by advising on deal structure, contract terms, and risk-balanced solutions.
• Lead procurement, manufacturing, and supply chain contracting, including purchasing, logistics, warranty, quality, and related operational agreements.
• Advise on intellectual property, data privacy, cybersecurity, AI, confidentiality, and compliance matters related to commercial transactions.
• Independently manage contracts from intake through execution, escalating complex or higher-risk issues when appropriate.
• Develop and improve contract templates, playbooks, negotiation guidelines, approval processes, and self-service resources.
• Help optimize contracting workflows and legal operations to improve efficiency and consistency.
• Support federal government and SLED contracting matters, including FAR/DFARs requirements as needed.
• Assist with related legal matters, including compliance, employment, IP, disputes, and corporate projects as needed.
  
  
  

Qualifications

• J.D. and active bar membership in good standing; eligible to practice as in-house counsel in Colorado.
• 4-6 years of experience drafting and negotiating commercial agreements, preferably with a mix of law firm and in-house experience.
• Experience supporting sales, product commercialization, procurement, manufacturing, or supply chain functions.
• Strong understanding of commercial contracting principles, including IP, confidentiality, data protection, indemnification, liability, warranties, and compliance obligations.
• Proven ability to independently manage negotiations and multiple priorities in a fast-paced environment.
• Excellent drafting, communication, negotiation, and business judgment skills.
• Experience with technology transactions, software licensing, legal operations, contract process improvement, or AI-enabled legal workflows is a plus.
  
  
  

Ideal Candidate: A collaborative, solutions-oriented attorney who enjoys partnering with the business, simplifying complex issues, and helping teams achieve commercial goals while effectively managing risk.

Base salary range: $140,000-$175,000 annually. The anticipated base salary offered will depend on relevant experience, qualifications, skills, and business needs. This range is a good-faith estimate of the compensation Spectra expects to offer at the time of posting.

Location: Candidates must reside within commuting distance of our Boulder, CO office. Relocation assistance is not available. Only local candidates will be considered. 3 days a week in Boulder office.
