What are the responsibilities and job description for the Corporate Trust Associate position at Solomon Page?
We are managing a search on behalf on an AmLaw firm with a leading finance practice that is seeking a 3rd to 6th year associate with broad experience in corporate trust, loan agency and/or financial transactional work at a large or mid-size law firm.
Responsibilities:
- Corporate debt offerings (Rule 144A and Regulation S and role of indenture trustee and collateral agent/collateral trustee)
- Representing indenture trustees, administrative agents and collateral agents on debt offerings and loan financing transactions, both domestic and cross-border
- Reviewing and negotiating credit agreements, collateral documents and other documents in connection with credit facilities
- Strong understanding of the UCC Article 8 and 9 and reviewing financial statements
- Strong communication and client relations skills and the ability to simultaneously handle multiple transactions are essential.
Required Qualifications:
- All applicants must have a JD degree or equivalent from an accredited law school and must be admitted to practice in the District of Columbia or New York State.
- The ideal candidate will have strong interpersonal, analytical and writing skills, superior academic credentials as well as the ability to work collaboratively as part of a team.
