Skyworks Solutions, Inc. is seeking an experienced Paralegal to join the Skyworks legal team.
Note: This is a temporary position-approx 6 months and will be based in Irvine, California and will report to the Company's Vice President and Associate General Counsel. The successful candidate will be able to work with a high level of autonomy, effectively managing multiple projects simultaneously.
Oversee, and/or provide assistance with, a wide variety of legal department activities, including, but not limited to the following:
- Oversee global subsidiary management, including managing legal entity database, filing corporate documentation, forming and dissolving legal entities, managing foreign qualifications for the Company's international entities and branches, tracking and updating D&O slates and signatories, and working extensively with outside counsel and various agencies and authorities with respect to entity filings and maintenance
- Prepare, review, and maintain minutes, resolutions, written consents, and corporate organizational documents
- Draft and timely file Section 16 filings (Forms 3, 4, and 5) and assist with other SEC filings, including proxy statements and Forms 10-K, 10-Q, and 8-K
- Assist with matters related to the Company's internal and external auditors, executive and director compensation, and stock plan administration
- Maintain corporate minute books and records
- Prepare and distribute directors' and officers' questionnaires
- Working closely with a variety of key stakeholders, including in-house attorneys, outside counsel, Accounting, Tax, Treasury, Internal Audit, Corporate Communications, HR and other business functions
- Assist with M&A or other legal transactional matters as assigned
- Bachelor's Degree or Paralegal Certification
- 5 years of relevant paralegal experience, including law firm and in-house public company experience supporting securities and corporate governance matters
- Highly skilled in standard office software (Word, Excel, PowerPoint, etc.)
- Must be able to juggle multiple priorities and tasks in a fast-paced environment
- Ability to work independently, with high attention to detail
- Excellent project management skills, well organized and team-oriented
