Position Overview
PURPOSE: Reporting to the General Counsel & Secretary, the Assistant General Counsel will provide support in a number of areas, including, but not limited to, securities, corporate governance, commercial, regulatory, employment, intellectual property, and litigation matters. The Assistant General Counsel advises and consults with field leaders and other field support departments on legal issues educating internal clients on proactive measures and approaches to reducing potential legal exposure.
KEY FACTORS FOR SUCCESS:
- Provide legal advice and support to senior management of various departments within the organization
- Draft, review and negotiate various commercial agreements and other legal documents
- Support the corporate secretarial function, including the preparation and review of board meeting materials, minutes, and resolutions; ensure compliance with corporate governance standards
- Review and/or prepare all SEC and NYSE filings, including ’34 Act reports, proxy statements and Section 16 filings; consult with executive management on related disclosure matters, including press releases, earnings materials, investor presentations and other external communications
- Administer the Company’s Annual Meeting of Stockholders
- Oversee litigation and dispute resolution matters, including coordinating with external counsel; develop strategies for resolving disputes and mitigating legal risks
- Manage the preparation of the Company’s annual IMPACT Report
- Assist with planning and executing the Company’s annual stockholder outreach program
SKILLS AND KNOWLEDGE:
- Excellent communication skills
- Strong interpersonal skills with the ability to build and maintain relationships with internal and external stakeholders
- High level of integrity and ethical standards
Skills We Are Seeking
EDUCATION AND EXPERIENCE:
- 7 years of professional experience practicing law
- Juris Doctor from an accredited law school required
- Admission to the state bar of at least one U.S. state required
- Prior in-house experience preferred, but not required
