As a Silvi Materials Assistant Corporate Counsel, you will play a pivotal role in ensuring that legal tasks are handled with precision and professionalism, working alongside our Corporate Counsel. You will have the opportunity to tap into a broad range of legal issues, including corporate transactional work, employment & labor law, regulatory compliance, and litigation management. As a member of an in-house corporate legal team, your contributions will impact all aspects of the way we do business, from vendor relationships to merger & acquisition work.

So, what does Silvi Materials Assistant Corporate Counsel do? You'll be an integral part of our team

• Assist our Corporate Counsel to build, scale, and drive enterprise-wide legal strategies and initiatives.
• Draft, review, and negotiate various commercial agreements, including customer agreements, vendor contracts, and partnership agreements.
• Assist with corporate filings, including formation and dissolution of corporations, partnerships, and limited liability companies.
• Conduct research and analysis of legal issues related to corporate law, labor & employment law, and business transactions.
• Gather and preserve data, documents, and information to drive the legal departments responses to discovery requests and subpoenas.
• Interface with outside counsel in ongoing litigation and corporate transactions to ensure Silvi is providing requested documents and support.
• Maintain corporate records and manage document databases.
• Assist with regulatory compliance, including preparing and filing regulatory reports.
• Draft and review legal correspondence, agreements, and other legal documents.
• Provide administrative support to the corporate counsel, including scheduling meetings, managing calendars, and maintaining electronic and paper filing systems.
• Draft, review, and negotiate various commercial agreements, including customer agreements, vendor contracts, license agreements, and partnership agreements.
• Support corporate governance and board matters, including preparing resolutions.
• Collaborate with cross-functional teams to ensure that legal and business objectives are aligned and met.
• Monitor and keep the company informed of relevant legal developments, regulatory changes, and industry trends.
• Assist with any other legal or compliance-related matters, as needed.
  
  
  

Qualifications Required

• Juris Doctor (J.D.) degree from an accredited law school and an active member in good standing of at least one state bar.
• Minimum of 2 years of legal experience, preferably with a combination of law firm and in-house experience.
• Demonstrated expereince in corporate law, contracts, and compliance matters.
• Exceptional communication, negotiation, and interpersonal skills, with the ability to build strong relationships with internal and external stakeholders.
• Strong analytical, problem-solving, and organizational skills, with the ability to manage multiple projects simultaneously.
• A proactive, business-minded approach to problem-solving, with a commitment to providing practical legal advice and solutions.
