About The Role:
Seaport Entertainment Group is seeking a highly skilled Senior Paralegal to join our New York office, reporting to the Deputy General Counsel. This role will also collaborate with SEG’s Finance, HR, IT, Marketing, Hospitality, and Sponsorship teams as needed. The ideal candidate will bring strong experience from an in-house legal department or law firm, with a focus on contract review and negotiation, legal entity management litigation case tracking, and basic corporate governance/SEC compliance.
What You Will Do
- Draft, review and negotiate (via redline markups, and occasionally, calls or Zoom meetings with contract counterparties) basic legal contracts (special event agreements, contractor and consultant professional service agreements, restaurant venue buy-out agreements, marketing agreements, NDAs, LOIs, purchase orders, etc.) and escalate critical issues to supervising attorney when appropriate for support
- Manage legal entity records, organizational charts, formation documents, limited liability company agreements, and annual franchise tax payments in coordination with Corporation Service Company
- Support administrative insurance litigation claims management, coordinating with insurance claims representatives and tracking status of all litigation matters
- Administrate liquor license filing documents for our restaurant venues, by providing our outside counsel with documents and information required to be filed with NY State Liquor Authority (preferred, not required)
- Provide corporate governance support, including Board of Directors materials (via Diligent) and Annual Shareholder Meeting logistics
- Assist with SEC and other regulatory filings
- Partner with cross-functional teams across SEG on legal and business initiatives
- Ensure compliance, accuracy, and timeliness across all legal processes
About You:
- Bachelor’s degree required and related work experience
- 7 years of experience in a legal department (in-house or law firm)
- Comfortable with independently drafting and negotiating basic, straightforward contractor and consultant agreements, event/venue agreements, purchase orders, NDAs and simple real estate license agreements, using our company forms under supervision of Deputy General Counsel
- Strong knowledge of legal entity formation and management, drafting limited liability company agreements, and updating company structure charts
- Experience with (or willing to learn) providing outside counsel with administrative documents, forms and information for liquor license filings with the NY State Liquor Authority
- Experience with general corporate governance and SEC compliance
- Strong interest in learning and mastering new competencies and being challenged with stretch assignments
- Highly detail-oriented with the ability to manage multiple projects and deadlines independently
- Excellent communication, drafting, and organizational skills
- Familiarity with legal terminology and commercial contract structures
- Proficiency in Microsoft Office (Word, Excel, PowerPoint) and Diligent board management software
- Experience with Broadridge, Computershare, and DTCC (not required, but nice to have)

Compensation range: $105,000 – $150,000 per year
