We are seeking an experienced Securities Lawyer to provide strategic guidance and mentorship to our internal legal counsel, ensuring compliance with securities regulations and supporting our financial structuring efforts.
- Guide the internal legal counsel on securities laws, compliance matters, and industry best practices.
- Develop the legal counsel's expertise in structuring private funds and REITs.
- Regulatory Compliance:
- Advise on compliance with U.S. federal and state securities laws, including the Securities Act of 1933, Securities Exchange Act of 1934, and Investment Company Act of 1940.
- Provide insights into SEC filings, disclosures, and reporting requirements.
- Fund Structuring Support:
- Assist in the legal structuring of private investment funds and REITs, ensuring compliance with applicable regulations.
- Guide the creation of offering documents, private placement memoranda (PPMs), subscription agreements, and other fund-related documentation.
- Risk Management:
- Help identify and mitigate legal risks associated with fund formation, REIT structuring, and investor relations.
- Provide strategic advice to align legal strategies with RoBuildX's business objectives.
- Knowledge Sharing:
- Deliver training sessions or workshops to enhance the internal legal team's knowledge and skills.
- Share updates on evolving securities regulations and industry trends.
- Educational Background:
- Juris Doctor (JD) degree from an accredited law school.
- Admission to practice law in the United States (active bar membership).
- Experience:
- Minimum 10 years of experience in securities law, with a focus on private funds, REITs, or other investment vehicles.
- Expertise:
- Strong knowledge of U.S. securities laws, regulations, and industry standards.
- Familiarity with structuring and managing private funds and REITs.
- Experience working with venture-backed companies is a plus.
- Skills:
- Excellent communication and interpersonal skills.
- Ability to explain complex legal concepts in a clear, understandable manner.
- Strong organizational and problem-solving skills.
