Corporate Transactional Paralegal

Reports to: Senior Legal Counsel

Role Overview

The Corporate Transactional Paralegal role will report to our Senior Legal Counsel and play a critical role in supporting the legal department’s efforts in managing and executing a broad range of transactional matters, including distribution and wholesale contracts, commercial contracts and other complex business transactions. The ideal candidate should possess a deep understanding of corporate and contractual law and be well versed in the contracting process from inception to signature. This role will be pivotal in enhancing efficiency, reducing costs, mitigating risk, and ensuring compliance across our business units.

This is a high-intensity role suited for a seasoned legal professional who thrives in a fast-paced environment and can manage multiple high-stakes projects simultaneously. Must be able to prioritize and re-prioritize efficiently in a fluid environment, and exercise exceptional judgment in knowing when to be flexible and when to draw a hard line or escalate an issue. As a small but highly functioning, regional legal department, our team relishes in wearing many legal hats in support of the company. While you will primarily provide day-to-day assistance for distribution and commercial transactional matters, you should be comfortable providing general support and assistance on matters beyond distribution and commercial projects, especially as business needs evolve. This role requires adaptability, resourcefulness, and a solution-oriented approach to legal challenges in a dynamic corporate environment. Responsibilities

This job profile is not meant to be all inclusive of the responsibilities of this position and may include other duties as assigned, but areas of focus will be as follows:

  • Draft, review and revise transactional agreements, notices, documents and correspondence relating to the Richemont and Maison distribution and wholesale business, ensuring accuracy and compliance with legal standards.
  • Draft, review, and revise a wide variety of commercial agreements, with a primary focus on digital, technology, e-commerce and SaaS agreements, retail-related and marketing agreements, talent, entertainment and communications agreements, master supply agreements, consulting agreements, purchase order terms and conditions and other third-party vendor agreements.
  • Assist with regulatory and corporate governance filings related to the Richemont Americas group of corporate entities.
  • Conduct legal research on various transactional issues and provide clear and concise summaries and recommendations to the legal team.
  • Coordinate with external legal counsel, business units, and other stakeholders to ensure smooth execution of transactions. Facilitate communication between parties involved in transactions.
  • Maintain accurate and organized files and records related to all distribution and commercial transactional matters. Ensure confidentiality and security of sensitive information.
  • Assist with related matters that impact the America’s legal operations and strategic objectives as needed.

Qualifications

  • Bachelor’s degree from accredited college, preferably in paralegal studies, legal studies and/or a related field. Paralegal certification is preferred.
  • Minimum of 7 years of experience as a paralegal, with a focus on transactional work. Experience in an in-house legal department is a preferred plus.
  • Strong understanding of commercial transactions, as well as distribution, emerging media/ad tech, e-commerce, marketing, entertainment, and competition law.
  • Highly developed written and verbal communication skills.
  • Ability to think, correspond and interact like a businessperson, to integrate, analyse and simplify legal and business issues and to partner with business leaders.
  • Must be able to manage multiple projects simultaneously and organize workload to meet organizational timelines in a fast paced, very high-growth environment.
  • Superb organizational and time management abilities. Meticulous attention to detail and pride in ownership of work. The ability to work both independently and collaboratively. Strong interpersonal skills and a good sense of humor.
  • Strong team working and project management skills, combined with ability to work as part of a cross functional team in a complex matrix environment.
  • High level of integrity and professionalism, with a commitment to confidentiality and compliance.
  • Proficient in Microsoft Office Suite (Word, Excel, PowerPoint). Experience with legal research tools and (CLM) document/contract management systems is preferred.
  • Ability to learn multiple software systems and interfaces.
  • With flexible work policies, must be able to regularly work in-person in New York City or Shelton, Connecticut
  • Ability to travel domestically and internationally, as needed

Salary Range: $118,000 - $132,000

Salary will be determined based on relevant skills and experience.
