Tax Associate / Senior Associate (Cross-Border Transactions)
RC Law is seeking a talented and motivated Tax Associate to join our growing tax practice. This role is ideal for a lawyer with experience in transactional tax matters who is looking to work on sophisticated domestic (U.S.) and international deals in a dynamic and entrepreneurial environment. This is an opportunity to work on cross-border restructurings and international tax planning in a growing practice with direct exposure to partners and clients.
About the Role
The successful candidate will work closely with partners and clients on a broad range of tax matters, including:
- Cross-border restructurings and tax planning (partnership formations, entity rationalizations, IP planning).
- International tax structuring for M&A transactions (pre and post structuring advice, active support to the M&A team), including equity and asset deals.
- Tax due diligence in connection with buy-side and sell-side transactions.
- Purchase price allocation, rollover structures, earn-outs, and post-closing integration matters.
- Provide U.S. international tax advice on core matters (Subpart F, NCTI/GILTI, FDDEI/FDII, FTC, FIRPTA, debt-equity characterization).
- Analyze expatriation consequences of U.S. individuals.
- Tax treaty analysis (LOB, PE, residence, withholding tax).
- General corporate tax advisory matters.
Qualifications
- 3 years of relevant experience in transactional tax, corporate tax, or M&A tax matters.
- Experience at a law firm, accounting firm, or in-house legal/tax department with a focus on cross-border inbound and outbound transactions.
- Strong knowledge of U.S. federal income tax principles applicable to M&A and reorganizations.
- Experience with tax due diligence is a plus.
- Excellent drafting, analytical, and communication skills.
- Ability to manage multiple matters and work directly with clients.
Additional Preferred Qualifications
Strong preference will be given to candidates having the following qualifications:
- Ability to communicate in Spanish at a professional level.
- LL.M. in Taxation or similar advanced tax training.
- Admission to a U.S. bar (or intention to obtain admission in due course)
Compensation
We offer market compensation, commensurate with a boutique law firm, which includes a bonus component tied to the performance of the Tax Practice.
Location
Miami, Florida is strongly preferred.
