About Qualiphy
Qualiphy is a telehealth infrastructure platform that functions as a clinical layer — connecting patients from partner clinics to a nationwide network of licensed providers. We operate through a multi-entity MSO/PC structure, offer treatments across GLP-1, peptides, hormone replacement therapy, and testosterone, and serve a growing roster of B2B clinic partners with tailored workflows, compliance infrastructure, and managed provider networks.
The opportunity
We're hiring in house General Counsel to own the legal function end-to-end. You'll report directly to the CEO and Chief Legal Officer, work across every part of the business — from corporate structure and commercial contracts to multi-state telehealth compliance and patient-facing legal. This is a high-ownership, high-visibility role at a company operating in one of the most legally complex corners of digital health.
What you'll own
Corporate & entity structure
- Maintain and evolve Qualiphy's MSO/PC architecture across multiple states
- Form new entities (PCs, MSOs, holding companies) as the business expands
- Manage corporate governance, records, and board-level documentation
Commercial contracts
- Draft, review, and negotiate clinic sign-up agreements, MSAs, and custom enterprise contracts
- Manage and update provider contractor agreements
- Own the standard form library and version control across all contract templates
Healthcare regulatory & compliance
- Monitor federal and state telehealth rules affecting sync/async workflows, prescribing, and follow-up care obligations
- Support the compliance team on controlled substance expansion and compounded GLP-1 / peptide regulations
- Advise on corporate practice of medicine across all operating states
Patient & provider-facing legal
- Own and update telehealth consents, terms of use, and privacy policies
- Ensure follow-up care and treatment protocols are legally defensible
- Partner with the compliance team on HIPAA and state privacy obligations
Insurance & risk
- Manage professional liability, D&O, and general commercial insurance programs
- Coordinate with brokers on policy renewals and claims
Cross-functional partnership
- Serve as legal partner to product, engineering, and ops on new features and workflows
- Build scalable legal processes as the company grows
What we're looking for
- JD from an accredited law school; active bar membership in at least one US state
- 5–10 years of legal experience with meaningful time in healthcare — telehealth, digital health, or multi-state clinical operations strongly preferred
- Hands-on experience with MSO/PC structures and corporate practice of medicine rules
- Comfortable drafting and negotiating commercial agreements independently
- Working knowledge of HIPAA, state telehealth prescribing laws, and compounding pharmacy regulations
- Experience with entity formation and multi-entity corporate governance
- Highly self-directed — this is a standalone role; you build the function
- Litigation experience or active courtroom bar membership nice to have
- Prior in-house experience at a growth-stage company nice to have
