Lawyer

Our client is seeking a Senior Renewable Energy Finance / Project Finance professional to lead the structuring, analysis, due diligence, project management, and closing of tax credit transfer and project financing transactions involving renewable energy, infrastructure, and railroad projects.

This role will play a key part in supporting the company's renewable energy tax credit transfer and railroad tax credit transfer businesses. The ideal candidate will have strong experience in project finance, corporate finance, investment banking, private equity, commercial banking, renewable energy, or transactional law, along with advanced financial modeling skills.

The position will also lead and mentor a team of Associates and Analysts responsible for financial modeling, analysis, and due diligence.

Key Responsibilities

• Lead end-to-end tax credit transfer and project financing transactions, from initial structuring and underwriting through approval and closing.
• Evaluate transaction opportunities, develop financing structures, and coordinate the underwriting process.
• Negotiate term sheets, transaction agreements, and other definitive documents with internal and external stakeholders.
• Build, review, and oversee complex financial models used for valuation, return analysis, forecasting, sensitivities, and lender/investor cases.
• Conduct detailed financial and project due diligence, including reviewing data rooms, project documentation, transaction terms, financial information, and key risks.
• Identify and evaluate the primary financial, commercial, and transaction risks and drivers associated with each opportunity.
• Lead, manage, and mentor Associates and Analysts supporting financial modeling, analysis, due diligence, and transaction execution.
• Establish and maintain high standards for financial modeling, transaction analysis, project management, and execution.
• Work closely with renewable energy developers, investors, legal counsel, accounting firms, consultants, and other external advisors throughout the transaction lifecycle.
• Develop and maintain strong relationships with investors, project developers, advisors, attorneys, and other industry stakeholders.
• Prepare and present transaction analyses, reports, and recommendations to senior leadership.
• Support broader company strategy, resource allocation, and business initiatives, including the Railroad and Advisory teams.
• Assist with developing marketing materials and approaches to support business development.
• Identify opportunities to improve the company's models, processes, tools, and transaction execution capabilities.
• Perform other duties and projects as assigned.
  
  

Required Qualifications

• 5 years of relevant professional experience in one or more of the following:
• Project Finance
• Corporate Finance
• Investment Banking
• Commercial Banking
• Private Equity
• Renewable Energy Finance or Development
• Infrastructure Finance
• Transactional Law
• Bachelor's degree in Finance, Accounting, Economics, Engineering, or a related field.
• JD is preferred but not required.
• Advanced proficiency in Excel and financial modeling, including forecasting, valuation, return analysis, scenario analysis, and sensitivity modeling.
• Experience evaluating or executing complex financial or investment transactions.
• Experience with transaction structuring, underwriting, due diligence, negotiation, and closing.
• Experience working with attorneys, accountants, consultants, investors, developers, lenders, and other transaction professionals.
• Strong analytical and problem-solving abilities with exceptional attention to detail.
• Ability to manage multiple transactions and priorities in a fast-paced environment.
• Strong communication and interpersonal skills, with the ability to explain complex financial and transaction concepts clearly.
• Demonstrated ability to lead, mentor, and manage junior professionals.
• Ability to make sound decisions, think creatively, and move transactions forward efficiently.
  

Preferred Qualifications

• Experience with renewable energy or infrastructure project finance.
• Experience with renewable energy tax credits, transferable tax credits, or tax equity transactions.
• Experience with ITC/PTC or other clean-energy tax credit structures.
• Experience with railroad tax credit transactions.
• Experience negotiating transaction documents and working with legal counsel.
• Experience in investment banking, structured finance, or private equity.
• JD or other advanced degree.
  
  

What Success Looks Like

The successful candidate will be able to take a transaction from initial evaluation through closing, understand the financial and commercial considerations, oversee detailed modeling and due diligence, effectively coordinate internal and external stakeholders, and lead a team responsible for executing transactions.

Location & Travel

This position is based in Sioux Falls, South Dakota and requires the ability to work from the Sioux Falls area. Occasional travel will be required, primarily for industry conferences, partner meetings, business development, and project/site visits.
