We are seeking a strategic, business-minded lawyer to join our Corporate legal team. This role will support all of the Corporate Legal team’s workstreams, including M&A, SEC reporting, corporate governance, corporate compliance, and more. This is a great growth opportunity for an early career lawyer to gain subject matter expertise while also making an immediate impact.

In This Role, You Will

• Support all phases of M&A activity. You will structure and perform legal diligence, support drafting of definitive documentation, and manage and complete post-closing integration tasks. You will liaise with outside counsel and internal stakeholders throughout the M&A lifecycle and serve a key role in running an effective and efficient M&A process.
• Support preparation of SEC filings, including periodic and current reporting, proxy statement, and Section 16 filings.
• Support corporate governance matters, including board/committee materials and securities law compliance and disclosure matters.
• Support our global subsidiary governance – formations, dissolutions, foreign qualifications, restructurings, and integrations across domestic and international legal entities.
• Support executive compensation, equity compensation, and incentive compensation plan matters.
• Support legal negotiations of global real estate footprint.
• Build and continuously improve the tools, workflows, and automation that support this role’s work.
  
  

Your Background

• JD from an accredited law school.
• Admitted to practice law in Massachusetts or licensed in the jurisdiction in which you live and work (with willingness to obtain Massachusetts admission).
• 1-3 years of relevant experience in the corporate department of a law firm or comparable in-house experience.
• Strong organizational, project management, and multitasking skills to manage multiple competing matters and deadlines.
• Excellent communications skills.
• A team player who can work collaboratively and create strong relationships with a wide variety of people at all levels across the company.
  
  

Additionally, It Would Be Beneficial If You Have

• M&A and/or securities law experience.
• Exposure to public company governance.
• Experience working with AI tools.
  
  

Base Salary Range: $110,500 - $136,500

This position is also eligible to participate in our performance-based annual corporate bonus plan. Final base compensation is determined by a number of factors, including but not limited to job-related skills, education, demonstrable experience, and allowance for future and continued salary growth.
