Position Summary
Reporting to the Head of Business Development and Strategy, the VP, Transaction Execution will lead the execution of reinsurance transactions and strategic opportunities.
This role combines transaction execution with legal and contractual expertise, providing practical guidance on deal structuring, documentation, and risk. The VP will work closely with business development, actuarial, finance, and external advisors to drive transactions from origination through closing.
The role requires a hands-on operator who can manage complex transactions end-to-end while providing practical, commercially-oriented legal insight to support efficient and effective deal execution.
Key Responsibilities
- Lead execution of reinsurance and strategic transactions from initial proposal of terms through negotiation and closing
- Serve as a primary point of contact for counterparties, cedants, and advisors during transaction execution
- Provide practical legal and contractual guidance on transaction structures, terms, and risk allocation
- Review, negotiate, and support drafting of transaction documentation (e.g., reinsurance agreements, NDAs, term sheets)
- Partner with internal and external legal counsel to ensure efficient documentation and alignment with commercial objectives
- Identify and mitigate legal, regulatory, and execution risks across transactions
- Coordinate transaction analysis, due diligence, and pricing in collaboration with actuarial and finance
- Prepare materials for internal approvals and Board review
- Manage transaction governance, reporting, and regulatory interactions
- Contribute to pipeline development and process improvements
Qualifications
- 10 years of experience in reinsurance, insurance, investment banking, legal advisory, or financial services
- Strong transaction execution experience (e.g., M&A, block or flow reinsurance)
- Legal background preferred (law firm, in-house, or deal counsel experience)
- Experience with transaction structuring, negotiation, and documentation
- Strong analytical, communication, and stakeholder management skills

Base salary range for this role is $215,000 - $295,000
