Job Summary
Provides legal support to the System.
Essential Functions
- All team members are expected to be knowledgeable and compliant with Prisma Health's purpose: Inspire health. Serve with compassion. Be the difference.
- Junior associate able to support and assist senior attorneys on general counsel work, including contracts, corporate compliance, financings, and mergers and acquisitions.
- Drafts and reviews legal documents, including contracts, letter agreements, and other documents related to debt and equity financings.
- Prepares and maintains capitalization tables and pro formas for financings, including facility with Excel, organizing calculations and data, and comfortable with math.
- Conducts legal research on various topics and provide legal analysis and recommendations to clients.
- Collaborates with attorneys and clients to develop legal strategies and solutions related to debt and equity financings.
- Provides support for corporate transactions, including mergers and acquisitions, financings, and corporate governance matters.
- Maintains and updates legal files and documents, including capitalization tables, share certificates and securities filings in concert with paralegal staff.
- Performs other duties as assigned.
- This is a non-management job that will report to a supervisor, manager, director or executive.
- Education - Juris Doctor from an accredited school of law
- Experience - Two (2) years healthcare/legal related experience

- Licensed to practice in the state in which work is performed or must obtain license within one (1) year of employment
- Knowledge and experience negotiating, managing and implementing routine and complex healthcare transactions.
