Partner / Of Counsel - Affordable Housing (LIHTC)

Primeline Recruiters is posting this role on behalf of a client: a growing law firm dedicated to affordable housing and community development, with deep expertise in tax-exempt bonds, low-income housing tax credits, and related financing, and a national practice. The firm is hiring a Partner or Of Counsel to lead complex LIHTC transactions. Deal flow is growing faster than capacity, so you'll be busy right away. The structure is flat and collaborative: partners work alongside associates on deals, and you'll have direct client relationships and autonomy from day one.

What you will do:

- Lead complex affordable housing transactions involving 4% and 9% LIHTC allocations, tax-exempt bond financing and multi-source financing structures, from engagement through closing

- Take ownership of client relationships and drive deal execution for both for-profit and nonprofit developers across all aspects of the development process

- Work closely with the Managing Partner and fellow partners to shape the firm's growth and expand its national footprint

- Draft, negotiate and close LPAs, operating agreements, loan documents and complex financing instruments involving multiple regulatory and financing regimes

- Supervise associates and paralegals, manage deal teams, and contribute to the firm's training and collaborative culture

- Navigate the intersection of Section 142 (tax-exempt private activity bonds) and Section 42 (LIHTC) of the Internal Revenue Code to structure innovative transactions

What you need:

- 8 to 20 years of experience in affordable housing / LIHTC transactional law

- A track record of independently running complex transactions from engagement through closing

- Ability to draft, negotiate and close LPAs, operating agreements, loan documents and multi-layered financing instruments

- Familiarity with Section 142 and Section 42 of the Internal Revenue Code

- Comfort working in a collaborative, flat organizational structure

Preferred:

- A portable book of business in the LIHTC / developer representation space. A book is not required.

Compensation and benefits:

- Base salary of $300,000 - $400,000, depending on experience, level (Of Counsel vs. Partner) and book of business

- Profit-sharing available and not tied to origination; an incoming partner would likely start with profit-sharing

- A possible path to equity partnership (not guaranteed, no set timeline, includes a buy-in)

- 100% firm-paid high-deductible medical plan with HSA contribution

- 401(k) with immediate vesting and match (100% on the first 3%, 50% on the next 2%)

- 20 days PTO plus 11 holidays

- Firm-sponsored lunches Tuesday through Thursday

- Travel costs covered for office visits

Work model:

Hybrid preferred, in the office Monday through Thursday at the New York, NY or Buffalo, NY office. Remote is genuinely acceptable, with periodic office visits; the firm covers all travel, including flights and hotel.
