Plunk Smith’s transactional department includes a full service, outside general counsel team dedicated to supporting a variety of different local and national businesses across multiple industries, both small and large. Our transactional practice further focuses on the needs of private operating businesses, PE-backed companies and startups, real estate development, corporate tax, and employment law advisory services.
The ideal candidate for this position will be very proactive and detail oriented and have experience in contract drafting and negotiating, due diligence, research, legal analysis, and general corporate work. This role requires a demonstrated interest in providing legal advice and counsel to clients in a broad spectrum of corporate law issues including negotiating contracts, mergers and acquisitions, corporate governance, investments, joint ventures, and other general corporate matters.
Responsibilities:
· Draft, negotiate, manage, and finalize contracts in order to facilitate the completion of business transactions.
· Advise clients on status, legal risks, and liabilities associated with corporate transactions and contracts.
· Review and analyze initial interest acquisition letters, endorsements, and filings to ensure compliance with applicable regulations.
· Collect and review due diligence documents.
· Coordinate and manage third-party relationships such as external counsel, auditors, and regulators.
· Stay current with evolving relevant law and corporate legislation, rules, and regulatory requirements.
Qualifications:
· A member in good standing with the bar and license with the State Bar of Texas, (additional state licensures are a plus).
· At least 2 - 5 years of relevant contract and corporate legal experience.
· Proactive mindset and attention to detail required.
· Excellent communication skills.
