What are the responsibilities and job description for the Corporate Paralegal position at Pinnacle Career Coaching?
We are currently recruiting for a paralegal to join a growing Private Equity firm to support their legal group, including General Counsel and CCO.
Please note this position is on-site 5 days per week in Manhattan, and remote workers will not be considered.
This is a great opportunity for someone looking to transition to an in-house legal group following a number of years in either a legal analyst or paralegal position within a top law firm or an individual already within investment management looking for a highly visible position in a growing legal department.
What you'll be doing:
- Support all aspects of corporate entity management, including formation, dissolution, annual filings, governance tracking, and maintenance of organizational records and structure charts.
- internal legal counsel, deal teams, lenders, and outside counsel with real estate and corporate transactions, including due diligence coordination, document execution, closing support, and preparation of closing binders.
- Draft, review, and manage standard legal and transactional documents, including operating agreements, resolutions, assignment documents, subscription materials, confidentiality agreements, and vendor/service contracts.
- Maintain and enhance legal operations systems, document management platforms, entity trackers, and digital filing processes to improve workflow efficiency and organization.
- Coordinate investor and fund administration support, including distribution of investment materials, maintenance of investor databases, and preparation of capital call documentation.
- Support legal operations and administrative functions, including litigation tracking, insurance coordination, invoice processing, and cross-functional legal workflow management.
What we're looking for:
- 3 years of experience as a paralegal, legal analyst, or in legal operations handling investment management and fund-related matters, either in-house or within private practice
- Bachelor's degree level educated
- Notary Public Commission in New York State preferred
