Key Responsibilities Document Preparation & Drafting
- Draft, revise, and proofread business and transactional documents, including:
- Operating agreements, bylaws, shareholder agreements
- Purchase and sale agreements (asset & stock)
- Entity formation documents
- Corporate resolutions and consents
- NDAs, vendor contracts, licensing agreements
- Closing binders and transactional summaries
- Prepare and file formation documents with Secretary of State offices
- Prepare UCC filings, amendments, and terminations
Transaction Support & Closing Coordination
- Coordinate due-diligence review, including gathering and organizing corporate records, contracts, and financial documents
- Manage closing checklists, timelines, and deadlines
- Communicate with clients, lenders, opposing counsel, and third-party professionals (CPAs, brokers, insurers)
- Assist with signatures, escrow instructions, and closing deliverables
- Prepare post-closing binders and ensure all closing documents are completed and recorded properly
Corporate Maintenance & Compliance
- Maintain corporate records books and minute books
- Track annual report deadlines and state compliance requirements
- Assist in EIN applications, business licensing, and statutory agent filings
- Manage updates for DBAs, ownership changes, and entity conversions
Client Interaction
- Serve as a key point of contact for clients during transactions
- Collect documents and coordinate information flow
- Provide status updates and ensure client expectations are managed professionally
Administrative & Firm Support
- Maintain organized digital and physical files
- Assist with billing entries and time tracking
- Support attorneys with research, scheduling, and other legal tasks as needed
- Contribute to process improvements within the firm’s corporate practice
QualificationsRequired
- 2–5 years of paralegal experience in business, corporate, or transactional law
- Strong understanding of corporate governance, entity structures, and common transaction types
- Proficiency with document management systems and legal software
- Excellent drafting, proofreading, and organizational skills
- Ability to manage multiple tasks and deadlines with minimal supervision
- Strong client communication skills
Preferred
- Experience in a small-firm environment
- Experience with due diligence platforms, e-signature tools, and corporate compliance software
- Bachelor’s degree or paralegal certificate
