Job Description
- Advise clients on corporate capital markets transactions, including securities offerings and regulatory compliance.
- Draft and review legal documents such as prospectuses, offering memoranda, and other transaction-related agreements.
- Collaborate with internal and external stakeholders to ensure seamless execution of transactions.
- Provide guidance on SEC filings, including annual reports and registration statements.
- Research and analyze legal issues related to corporate governance and securities regulations.
- Support due diligence efforts and risk assessments for clients in capital markets activities.
- Stay updated on changes in laws and regulations impacting the capital markets sector.
- Mentor junior team members and contribute to knowledge-sharing within the department.
A successful candidate should have:
- A Juris Doctor (JD) degree from an accredited law school.
- Bar admission in good standing in California or eligibility to waive into the jurisdiction.
- Strong knowledge of corporate law, securities regulations, and capital markets transactions.
- Excellent drafting, negotiation, and communication skills.
- The ability to manage multiple projects and meet deadlines in a fast-paced environment.
- A proactive approach to problem-solving and client service.
- Competitive base salary ranging from $260,000 to $365,000 annually, based on JD year and other relevant factors.
