Summary:
The purpose of this position is to support the Chief Legal Officer and Senior Management in managing certain legal functions of the company, with primary substantive responsibility for business development transactions, including M&A, licensing, and partnerships, and supervisory responsibility, strategic oversight, and escalation authority for the broader contracting function.
Responsibilities:- Oversee and take ownership of contracting function for business development transactions and M&A matters, including drafting, reviewing, negotiating, and advising on related agreements and transactions.
- Oversee and take ownership of the contracting function and provide strategic direction on contract strategy, process, prioritization, and risk-based decision-making across the full contract group.
- Serve as escalation authority for contracting matters handled by the broader contract group, including complex negotiations, non-standard terms, risk assessments, and business-sensitive issues.
- Supervise and mentor direct reports to facilitate professional growth; identify training opportunities and provide mentoring to ensure individuals are appropriately developed in accordance with their roles and responsibilities.
- Become a strategic partner with Regulatory, Finance, IT, Clinical, Manufacturing, Medical, and Commercial Groups to assist them with their various legal needs.
- Review, draft, and implement corporate policies and procedures.
- Advise Senior Management on legal issues and risk.
- Assist General Counsel on other legal projects on as-needed basis.
- Manage outside counsel relationships for transactions and M&A matters, including budgeting, workflow oversight, and quality control of external legal work product.

Interaction:
Will work closely with the Chief Legal Officer and customers, vendors, outside counsel and consultants. Business areas supported include: research and development, clinical trials (commercial products and potential pipeline products), medical affairs, market access, corporate communications, global supply chain and quality, manufacturing, commercial sales and marketing to healthcare providers, patients and payers (including U.S. Federal Government), business development, procurement, finance, compliance, and human resources.
Qualifications:
- JD and a State Bar admission
- Minimum 10 years of major law firm or in-house experience. Three years of in-house experience with a major pharmaceutical and/or biotech company is preferred but not necessary.

- Exceptional English communication skills written and verbal, organizational abilities, decision making, and proven attention to detail.
- Strong Microsoft Office skills: Word; Excel; Outlook.
- Demonstrated ability to work effectively within a team environment.
- Demonstrated ability to multi-task and produce quality work product in a fast-paced, stimulating environment.
- Demonstrated experience managing or supervising legal professionals or contract specialists is strongly preferred
- Experience in licensing, collaboration agreements, M&A transactions, or business development transactions in the life sciences industry
- Demonstrated excellent business judgment and the ability to form strong working relationships with internal clients while maintaining adherence to legal standards.
- Proven depth of knowledge of corporate legal issues, particular to the pharmaceutical and/or Biotech industry including contracts and compliance.
- Ability to travel, sometimes frequently to headquarters in Brisbane, CA, up to 25% of the time.
Physical Demands:
This position requires regular travel to Brisbane, CA at least once per month.
