What are the responsibilities and job description for the Tax Attorney position at OPS?
We are seeking a highly skilled Attorney (part time, full time, contract, etc.) with significant experience in Mergers & Acquisitions (M&A) and a strong background in Tax Law to support a variety of transactional and advisory matters. Experience with estate planning is a plus and may be required for certain client matters.
Key Responsibilities
- Advise clients on legal aspects of corporate transactions, including structuring and negotiating M&A deals.
- Draft, review, and revise a wide range of transaction documents (e.g., purchase agreements, operating/shareholder agreements, NDAs, LOIs).
- Provide tax-focused legal guidance related to entity formation, restructuring, acquisitions, and other business transactions.
- Collaborate with accountants and financial advisors to ensure tax-efficient outcomes.
- Assist with due diligence processes, risk assessments, and closing procedures.
- (Optional) Draft or review estate planning documents (wills, trusts, powers of attorney) and provide legal guidance on wealth transfer strategies and tax implications.
- Stay current with legal and tax developments affecting clients and their businesses.
Qualifications
- Juris Doctor (JD) from an accredited law school.
- Active license to practice law in [Insert relevant jurisdiction].
- Minimum of 5 years of experience in M&A and tax law (law firm, in-house, or both).
- Strong drafting and negotiation skills.
- Demonstrated understanding of corporate tax issues, including federal, state, and local considerations.
- Experience advising high-net-worth individuals or business owners (preferred).
- Estate planning experience is a strong plus.
- Excellent analytical, communication, and organizational skills.
