Our client, a leading fully integrated clean energy platform in the U.S., is seeking a Senior M&A Attorney to support its continued growth through strategic project acquisitions, divestitures, and commercial transactions. This role sits at the core of the company’s transaction activity, working closely with development, finance, and executive leadership to structure and execute deals across a growing portfolio of renewable energy assets.
For attorneys with a strong transactional background and interest in the commercial side of the energy transition, this is an opportunity to operate in-house on high-impact deals from origination through closing.
The Role
As a Senior M&A Attorney, you will lead and support the structuring, negotiation, and execution of renewable energy transactions, with a particular focus on project and portfolio acquisitions. You will play a key role in translating complex legal and commercial considerations into actionable guidance, enabling the business to move efficiently through transactions while managing risk.
Key Responsibilities
- Advise on the structuring and execution of M&A transactions, including project and portfolio acquisitions and dispositions.
- Draft, negotiate, and manage transaction documentation, including MIPAs, APAs, and related purchase and sale agreements.
- Lead legal workstreams across the full transaction lifecycle, from initial structuring through diligence, negotiation, and closing.
- Identify, assess, and mitigate legal and commercial risks associated with acquisitions, divestitures, and development activities.
- Partner closely with development, finance, real estate, and capital markets teams to support deal execution and investment strategy.
- Support negotiation of key commercial agreements, including PPAs, joint ventures, interconnection agreements, and operations contracts.
- Provide legal support across project financing processes, including coordination with lenders, investors, and internal stakeholders.
- Manage and coordinate external counsel, ensuring efficient and cost-effective execution
- Contribute to the development of internal processes, templates, and best practices to streamline transaction execution.
Candidate Profile
- Juris Doctor (JD) with strong academic credentials.
- Approximately 6–8 years of experience in M&A, project finance, or infrastructure transactions.
- Demonstrated experience drafting and negotiating MIPAs, APAs, and related acquisition agreements.
- Background in renewable energy, infrastructure, or energy markets strongly preferred
- Familiarity with project finance and tax equity structures is advantageous.
- Strong commercial acumen with the ability to advise business stakeholders pragmatically.
- Proven ability to manage multiple concurrent transactions in a fast-paced environment
- Excellent communication, negotiation, and stakeholder management skills.
- Licensed to practice law in the relevant jurisdiction or eligible for in-house registration.
Salary : $225,000 - $275,000
