Job Overview
We are seeking a dynamic and experienced Corporate / Mergers & Acquisitions Attorney to join our growing legal team in our Tampa office. This role is ideal for either an experienced associate ready to step into greater responsibility or a partner/senior counsel with a portable book of business who wants a collaborative, entrepreneurial environment without the bureaucracy of a large firm.
Responsibilities
- Lead and negotiate mergers, acquisitions, divestitures, joint ventures, and other corporate transactions with precision and strategic insight.
- Draft, review, and finalize a wide range of legal documents including purchase agreements, confidentiality agreements, disclosure schedules, and ancillary transaction documents.
- Provide expert legal advice on corporate governance, compliance issues, securities law, and regulatory requirements relevant to client transactions.
- Conduct thorough due diligence investigations utilizing legal research tools such as LexisNexis and Westlaw to identify potential risks and opportunities.
- Manage multiple client matters simultaneously while maintaining high-quality standards in legal case management and documentation.
- Collaborate with clients to develop tailored strategies that align with their business objectives while ensuring adherence to procedural law requirements.
- Support clients through negotiations, contract drafting, trial preparation, court depositions, and other litigation-related activities when necessary.
Qualifications
- Proven experience in corporate law with a focus on mergers & acquisitions; ability to handle complex deals independently (4-10 years’ experience).
- Strong background in lower-middle-market transactions including stock and asset acquisitions/divestitures; equity raises and private placements; bank financing and loan documentation; joint ventures and strategic partnerships; and real estate related corporate transactions.
- Exceptional negotiation skills combined with the ability to draft clear and effective contracts and legal motions.
- Comfortable working directly with clients, bankers, and other advisors.
- Strong writing skills with a keen eye for detail; ability to produce comprehensive legal documentation efficiently.
- Portable book of business is highly valued for partner-level candidates (not required for associate candidates)
