Position Overview

We are seeking a motivated and detail-oriented Corporate Transactional Attorney with 1–5 years of experience to join our growing practice. The ideal candidate will have a strong interest in corporate and business law, excellent drafting and analytical skills, and the ability to manage multiple matters in a fast-paced environment.

This position offers substantial exposure to a broad range of corporate transactions and business matters, with opportunities to work directly with clients, negotiate agreements, and develop the skills necessary to become a well-rounded transactional attorney.

Key Responsibilities

• Draft, review, and negotiate a wide variety of corporate and commercial agreements.
• Assist with mergers and acquisitions, including asset purchases, stock purchases, due diligence, and transaction closings.
• Advise business owners and companies on entity formation, corporate governance, and ongoing business operations.
• Prepare and review operating agreements, shareholder agreements, buy-sell agreements, and other organizational documents.
• Assist with business reorganizations, ownership transitions, and succession planning.
• Work on commercial real estate transactions, including purchase agreements, leases, and related documentation.
• Coordinate with tax advisors, accountants, financial advisors, and other professionals to implement client objectives.
• Communicate directly with clients and assist in managing client relationships.
• Conduct legal research and prepare memoranda addressing corporate, transactional, and business law issues.
• Manage multiple matters and deadlines while maintaining a high level of accuracy and attention to detail.

Qualifications

• Juris Doctor (J.D.) from an accredited law school.
• Active license and good standing with the State Bar of Michigan.
• 1–5 years of relevant legal experience, preferably in corporate law, business transactions, or commercial law.
• Strong legal research, writing, drafting, and analytical skills.
• Excellent organizational skills and the ability to manage multiple matters simultaneously.
• Strong interpersonal and communication skills, including the ability to interact professionally with clients and other advisors.
• A proactive, entrepreneurial mindset and willingness to take ownership of assignments.
• Ability to work independently while contributing to a collaborative team environment.

Preferred Qualifications:

• Experience drafting and negotiating commercial agreements.
• Exposure to mergers and acquisitions, entity structuring, or business succession planning.
• Familiarity with tax considerations affecting business transactions.
• Experience working with closely held businesses and their owners.
