Corporate Associate Attorney – Rochester, New York
Morgenstern DeVoesick PLLC, a growing transactional law firm based in Rochester, New York, is seeking an experienced Corporate Associate Attorney to join our team and help expand our corporate and business law practice.
The ideal candidate will have 3–7 years of experience representing closely held businesses, entrepreneurs, and investors in a broad range of corporate and transactional matters, including:
- Small- to mid-sized asset and stock purchase transactions
- Entity formation and business structuring
- Member and shareholder buy-ins/buy-outs
- Drafting and negotiation of operating agreements, shareholders’ agreements, and related governance documents
- General counsel-style advisory work for privately held companies
- Experience with commercial real estate, private financing, or mergers and acquisitions is a plus but not required.
We’re looking for someone who brings strong drafting skills, sound business judgment, and the ability to work directly with clients in a fast-paced but collegial environment.
Qualifications:
- J.D. from an accredited law school
- Admission to practice in New York (or eligibility for admission)
- 3 years of relevant corporate/transactional experience* Excellent communication, analytical, and organizational skills
- A client-centered mindset and entrepreneurial attitude
