The Public Side Paralegal plays a pivotal role within the Public side legal team, providing comprehensive support to attorneys and working groups involved in fund formation, structuring, and ongoing regulatory compliance as well as transactional support to coverage attorneys. This position requires a high degree of organizational skill, attention to detail, and the ability to manage multiple complex projects simultaneously in a fast-paced environment. The paralegal will be responsible for coordinating all aspects of fund launches-including tracking documentation, managing timelines, and facilitating communication between internal stakeholders and external counsel. Additionally, the Public Side Paralegal will review and prepare a range of legal agreements and filings, support the maintenance of regulatory documents, and ensure that all legal and compliance requirements are met throughout the fund lifecycle. This dynamic role demands strong analytical abilities, legal research, proactive problem-solving, and the discretion to handle confidential information with professionalism.
Key Responsibilities
> Collect and field legal questions and requests from various working group members.
> Track and manage comments on draft fund documents (PPMs, LPAs, Sub Docs, etc.).
> Conduct first-pass legal review on internal committee documents (NPC memos, LEOC decks, etc.).
> Draft and review MSWM placement agreements with coverage attorney oversight.
> Coordinate with CoSec in forming GP and fund entities.
> Update ADV brochures in coordination with compliance and coverage attorney.
> Oversee Form D filings with outside counsel.
> Track and manage placement agent agreements.
> Keep CoSec and others informed of closings and newly executed LPAs.
> Review and organize MFN election materials with coverage attorney and fund counsel.
> Coordinate with relevant stakeholders and outside counsel for regulatory exemption filings.
> Coordinate EDGAR delegate and administration setup and maintain filing credentials.
> Track filing deadlines and ensure timely submissions in collaboration with external counsel.
> Liaise with law firms to confirm office mapping and billing contacts.
> Monitor invoice submissions and resolve access or setup issues.
> Track amendment terms and renewal dates for credit facilities.
> Prepare officer certificates and supporting documentation for credit-related transactions.
> Draft amendments and other one-off documents.
> Organize shared drive files and keep folders updated.
> Draft amendments and other one-off documents.
> Prepare legal confirm letters for fund auditors with coverage attorney review.
> Perform first-pass review of marketing materials, co-investment materials, and DDQs.
> Coordinate signatures and compile final documents.
> Field inquiries from investor services on transfers.
> Draft and maintain fund-related summaries and trackers.
> Assist with law firm coordination for entity codes, filings, and fund terminations.
> Support documentation and logistics for fund launches and renewals.
> Manage access permissions and coordinate with compliance/legal teams for rule implementation.
> Bachelor's degree in Paralegal Studies or related field
> Paralegal certification preferred.
> Minimum of 5-7 years of experience in a corporate legal environment.

Expected base pay rates for the role will be between $70,000 and $105,000 per year at the commencement of employment. However, base pay if hired will be determined on an individualized basis and is only part of the total compensation package, which, depending on the position, may also include commission earnings, incentive compensation, discretionary bonuses, other short and long-term incentive packages, and other Morgan Stanley sponsored benefit programs.
