Department Profile

Professionals within Legal and Compliance provide a wide range of services to our business units. They might help to structure a complex and sensitive cross-border transaction; advise on a new product introduction; develop a training program or defuse an investor dispute. They preserve the Firm's invaluable reputation for integrity and protect the Firm from sanctions with policies and procedures that meet regulatory requirements around the world. They also strive to maintain cooperative relationships with governmental policy makers and the regulatory and self-regulatory agencies that govern the Firm's businesses.

Role Description

Chief Operating Officer reporting to the Corporate Secretary for Morgan Stanley's U.S. regulated national bank subsidiaries (Morgan Stanley Bank, N.A. and Morgan Stanley Private Bank, National Association, together the U.S. Banks) within the Company Law group assisting with corporate governance related matters for Morgan Stanley's U.S. Banks, to help ensure compliance with Delaware law, corporate governance best practices, and applicable regulations, including the OCC's Heightened Standards.

Duties And Responsibilities Shall Include The Following

> Provide support for U.S. Banks boards of directors, with independent boards of primarily external directors and four standing board committees that meet on a quarterly basis. Key tasks involve preparation, compilation and distribution of meeting materials, resolutions and consents, committee charters, minutes and relevant research.

> Assist with corporate governance matters involving bank senior officers and directors, including annual questionnaires and director independence, and officer appointment and authorized signatory processes.

> Oversee and coordinate with Mumbai support team on corporate secretarial matters including Powers of Attorney, KYC requests, documents for notarization and apostille, month-end reporting, legal entity lifecycle management and transactions impacting corporate structure.

> Respond to time sensitive internal and external requests for information and constituent documentation, in connection with regulatory exams, and Internal Audit and Compliance reviews.

> Facilitate review of corporate records by internal and external parties in support of significant funding transactions and other diligence matters.

> Actively collaborate and engage with various departments and functions across Morgan Stanley, outside counsel and independent auditors.

> Ad hoc projects related to governance initiatives and related work-streams

Qualifications

> At least 6 years’ relevant experience would generally be expected to find the skills required for this role

> Project management and organizational skills

> Detail-oriented and know how to identify matters requiring escalation or special attention

> Flexibility and ability to work in a fast-paced environment and manage multiple projects simultaneously while prioritizing responsibilities and various deadlines

> Willing to embrace technology and innovation, acquire new skills, and take on additional and/or new responsibilities as needed

> Work collaboratively with fellow employees and build relationships within a large organization

> Ability to maintain high level of professional integrity, discretion and confidentiality

> Some financial services and banking experience will be a plus but is not required

Expected base pay rates for the role will be between $120,000.00 and $205,000.00 per year at the commencement of employment. However, base pay if hired will be determined on an individualized basis and is only part of the total compensation package, which, depending on the position, may also include commission earnings, incentive compensation, discretionary bonuses, other short and long-term incentive packages, and other Morgan Stanley sponsored benefit programs.
