Role Objectives:
The General Counsel is responsible for overseeing all strategic, operational and group transactions of a legal nature, including but not limited to; legal corporate governance, commercial and contract management, M&A, litigation, legal regulatory matters, risk assessment, legal compliance, privacy, intellectual property and employee relations matters as required.
This role will be focused primarily on driving commercial outcomes for the business and be an expert in building strategic partnerships with our major vendors, customers and licensing partners. A true value add to the business, the General Counsel will blend practical and commercial outcomes with risk and legal needs.
The role is a strategic partner to the Senior Leadership team. The role provides expert legal advice and manages all complex legal matters across all Moose regions and will be based in the USA.
Qualifications:
Juris Doctor (J.D.) from an accredited law school.
- Active membership in good standing with the California State Bar.
- Minimum 10 years of progressive legal experience, including senior advisory or leadership roles.
- Expertise in corporate governance, strategic and transactional legal counsel, dispute resolution, compliance, contracts, risk management and budget management.
- Strong communication, analytical, and leadership skills with high integrity and sound judgment.
Responsibilities:
Strategic Partnership
- Collaborate extensively with sales, marketing and entertainment teams and other business functions to facilitate successful customer and licensing agreements, while adeptly managing contractual risks.
- Serve as a key advisor to senior leaders across business units, delivering strategic, solutions-oriented legal counsel that aligns business goals with risk posture and drives stakeholder alignment.
Contract Advisory & Negotiations
- Provide expert advice on structuring contracts with major vendors, customers, licensing opportunities and other strategic partners, ensuring both commercial viability and risk mitigation.
- Draft, negotiate, and oversee complex commercial and joint venture agreements.
- Structure contracts to support commercial outcomes, compliance, and operational flexibility across multiple jurisdictions.
General Legal and Transaction Support
- Deliver general legal support in all relevant legal matters to Moose (whether directly or through outside counsel) including property, new/special projects, privacy, intellectual property and employment law etc.
- Partner with the relevant stakeholders to provide legal support for the full range of transaction activities, including acquisitions, divestitures, joint ventures, partnerships, minority investments, venture investments and debt financings.
Enterprise Risk, Regulatory and Compliance Leadership
- Support the Chief Risk, Legal, and Compliance Officer, offer authoritative guidance on regulatory issues, compliance matters, environmental law, intellectual property, insurance, and international trade controls, ensuring adherence to applicable laws and standards.
- Monitor evolving global regulations, sanctions, and local law developments that may impact Moose operations globally and update policies and procedures accordingly.
Dispute Resolution
- Lead efforts in litigation, arbitration, mediation, and other dispute resolution processes, safeguarding the company's interests.
- Coordinate with outside counsel as appropriate.
Legal Adoption
- Enhance use of legal team as a strategic partner throughout the business by creating seamless interactions and matter resolution, including self-service support, matter/resolution tracking.
- Deliver legal training to the business as required
- Support continuous improvements of forms, policies and processes to help streamline, simplify and automate our contracting processes to provide scalable legal support to the business.
Budget Management
- Oversee the legal department's budget, including strategic management of outside counsel expenditures to ensure cost-efficiency and tight control of live matters.
People Management Responsibilities
- Regularly review resourcing requirements for the department and recruits, interviews, selects and trains new staff.
- Oversee the day-to-day workloads and performance of direct reports towards the achievement of agreed objectives, through the provision of clear direction, coaching and support.
- Work with direct reports to set individual KPIs, and conduct regular reviews in-line with the Moose Performance Management Program.
- Manage the training and professional development of team members, with an emphasis on providing timely and constructive feedback on a regular basis; and
- Champion the Moose culture to ensure direct reports deliver on The Wow.

Work Hours
8:30am – 5:30pm, Monday to Thursday
8:30am – 3:00pm, Friday
30-minute unpaid lunch break each day.
Plus, reasonable additional hours due to multiple time-zones.

Salary Band
USD $335,000-$350,000
