What are the responsibilities and job description for the Corporate Counsel - VP position at Mitsubishi UFJ Trust and Banking Corporation, New York Branch?
The position is responsible for providing timely legal advice and supporting the Legal Group's day-to-day operations, including, among other significant activities, drafting, reviewing and negotiating various types of financing and transactional agreements supporting the three main business lines (fund finance, trust custody and securities lending as agent, and treasury activities) including master agreements, and vendor service contracts directly supporting the business lines and support functions; performing legal research and analysis and preparing memoranda; and working closely with the General Counsel and other Legal Group attorneys to manage legal risks and implement process enhancements, as needed.
Responsibilities
• Lead the review, negotiation, and drafting of a broad range of complex contracts supporting the Branch’s business lines and control functions, including bilateral and syndicated credit agreements for investment funds, vendor services agreements, confidentiality agreements, custody agreements, and securities lending arrangements (including standard master agreements, ISDAs, tri-party collateral agreements, and related documentation), ensuring legal, commercial, and operational alignment across stakeholders.
• Provide strategic support on corporate governance matters, including the development of materials for Branch governance committees, internal working groups, and enterprise initiatives, as well as the preparation of agendas, corporate resolutions, meeting minutes, and other governance documentation that enables effective decision-making and oversight.
• Develop and review legal correspondence, research memoranda, standardized agreement templates, internal policies and procedures, and presentations on key legal and regulatory topics, while also contributing to the effective management and operational priorities of the Legal Group.
• Serve as, and provide backup support for, the Legal Group’s Risk Oversight, with responsibility for overseeing the review and enhancement of Legal policies and procedures, Key Risk Indicators (KRIs), risk and control assessments, testing and validation activities, and monthly and quarterly KRI and issue reporting. Represent the Legal Group in Branch business risk forums, advance cross-functional initiatives, and partner with Legal leadership to strengthen risk identification, mitigation, process effectiveness, and adherence to internal policies and standards.
• Provide strategic legal and regulatory counsel to Branch business lines and control functions, including Compliance, Risk Management, Administration and Planning, and IT, on new business initiatives, regulatory developments, and enterprise implications. Support regulatory change management, reporting obligations, and responses to regulatory examinations and inquiries.
• Review subpoenas and litigation-related filings and support the coordination of responses and broader litigation management activities, as needed, in partnership with internal and external stakeholders.
• Based on changes in the business plan and Branch objectives, job responsibilities can change, and additional functions and tasks may be added or removed accordingly. Also, this position may perform other duties from time to time as required, and participate in special projects as deemed necessary and appropriate by Management.
Skills & Requirements
Education: Juris Doctor (JD) Degree required from ABA accredited law school and admission to the New York Bar.
Experience: 6-8 years of relevant banking, finance and trust services work experience at a law firm or in-house legal department.
• Experience advising financial institutions on bilateral and syndicated commercial lending transactions with a focus on structured transactions and fund finance desired.
• Excellent communication, technical drafting, research and issue-spotting skills.
• Must be versatile and able to work effectively independently, and as part of a team.
• Ability to deliver practical solutions in a changing and market-driven environment.
• Proficient in Microsoft Excel, Microsoft Word, and other Microsoft 365 applications and services.
The typical base pay range for this role is between $175K - $200K depending on job-related knowledge, skills, experience and location.
