Overview
We are seeking an experienced Paralegal to support our legal team with a strong focus on corporate governance and transactional matters. This role will play a key part in maintaining corporate records, assisting with business transactions, and ensuring compliance with regulatory requirements. Experience in litigation and oil & gas is preferred but secondary to corporate and transactional expertise.
Key Responsibilities
- Assist with corporate governance matters, including entity formation, maintaining corporate records, and other entity management
- Prepare and file corporate documents, including formations, amendments, and annual reports
- Support transactional work such as contract drafting, review, and organization (e.g., NDAs, vendor agreements, service agreements)
- Coordinate and manage legal documentation for mergers, acquisitions, and other business transactions
- Organize and maintain legal files, contracts, and corporate records
- Assist with due diligence processes for transactions and audits
- Provide general legal and administrative support to attorneys and leadership
- Support litigation matters as needed, including document collection and case file organization
Qualifications
- Minimum of 5 years of paralegal experience, with a strong focus on transactional and corporate governance work
- Experience supporting corporate legal functions
- Familiarity with contract review and transactional processes
- Exposure to litigation support is a plus
- Experience in the oil and gas industry is preferred, but not required
- Strong organizational skills with attention to detail
- Ability to manage multiple priorities in a fast-paced environment
- Excellent written and verbal communication skills

- Proficiency in Microsoft Office (Word, Excel, Outlook, PowerPoint)
Work Environment
