Key Responsibilities:
- Provide expert legal advice on a broad range of equity derivatives products and transactions, including but not limited to equity swaps, options, forwards, and structured products.
- Advise on the structuring, negotiation, and documentation of equity derivatives transactions, ensuring compliance with applicable laws, regulations, and internal policies.
- Work closely with trading, risk management, operations, compliance, and other business units to support the bank's equity derivatives activities.
- Handle complex legal issues related to trading, margining, collateral management, and disputes arising from equity derivatives transactions.
- Keep abreast of developments in relevant legal, regulatory, and market environments, including Dodd-Frank, EMIR, and other financial regulations, and provide proactive guidance to business stakeholders.
- Draft and negotiate master agreements (e.g., ISDA), confirmations, and other transaction documents related to equity derivatives.
- Provide strategic advice on risk mitigation strategies and legal structures for equity derivatives transactions.
- Assist with regulatory filings and responses to regulatory inquiries, ensuring compliance with applicable regulatory frameworks.
Profile
- JD from US ABA accredited law school.
- 4 years of experience ideally gained in-house supporting the equity derivatives desk of an investment bank, experience at an AmLaw 50 firm highly preferred, or a combination thereof.
- Expertise in the legal and regulatory aspects of equity derivatives products, including but not limited to equity swaps, options, and structured products.
- Solid understanding of global financial regulations, including but not limited to Dodd-Frank, EMIR, and MiFID II, as well as other relevant regulatory frameworks.
- Experience with drafting, negotiating, and reviewing complex legal agreements and documentation, including ISDA Master Agreements, confirmations, and related documentation.
- Strong analytical, communication, and negotiation skills, with the ability to work effectively in a fast-paced, team-oriented environment.
- Familiarity with the operational, risk management, and collateralization aspects of derivatives transactions.
- Strong understanding of financial markets and trading practices related to equity derivatives.
- Ability to manage multiple priorities, work independently, and provide clear, pragmatic legal advice.
- Strong attention to detail and a proactive, solutions-oriented approach to problem-solving.
