Position Description

Job Title: Financial Due Diligence Manager

Reports To: Director of Strategic Finance

FLSA Status: Exempt

Location: Shared Services Office, Irving, TX (Hybrid)

We are seeking a Financial Due Diligence Manager to oversee financial due diligence and project management for mergers and acquisitions (M&A). The Financial Due Diligence Manager role provides valuable experience with financial transactions in a fast-paced, growing company, where your work will directly influence important business decisions.

Essential Duties And Responsibilities

Lead Acquisition Activities from Deal Sourcing to Closing:

  • Lead and manage end-to-end financial due diligence engagements, including scoping, planning, execution, and reporting from initial pre-letter of intent (“LOI”) due diligence to closing.
  • Organize financial due diligence Request for Production file and manage large volumes of confidential financial and operational data provided by acquisition target in a secure data room.
  • Building relationships and serving as primary client contact for leaders of acquisition targets.
  • Building financial models and workbooks to organize information and assess the valuation of the acquisition target.
  • Oversee the preparation of high-quality due diligence reports, executive level deliverables, and Board presentations to present a recommended enterprise value reference range to negotiate a LOI.

Financial Analysis And Technical Expertise

  • Perform financial due diligence on key areas of the Income Statement and Balance Sheet
  • Analyze historical and projected financial statements, quality of earnings, net working capital, and key revenue and margin trends to verify financial health and identify any potential risks or hidden liabilities.
  • Analyze the target company's operational processes, cost structures, and revenue streams to identify areas for efficiency improvements or potential integration challenges.
  • Formulate questions and propose financial statement adjustments based on identification of key risks and business drivers.
  • Analyze industry data and market trends to provide strategic vision and forecast the future performance for the acquisition target.
  • Use data analytics to create and test various financial scenarios, such as sensitivity analyses, to assess a deal's viability under different market conditions.

Transaction Support And Deal Execution

  • Manage and monitor due diligence checklists and acquisition workstream timelines leading to closing.
  • Work with cross-functional teams to collect and analyze information and communicate key findings
  • Assist the Acquisition Controller with data gathering and analysis of transactional activity to assist in the preparation of the opening balance sheet at closing.
  • Scrutinize the target company’s financial statements, tax returns, contracts, and legal documents to verify financial health and identify any potential risks or hidden liabilities.

Other Duties & Projects

  • Support special projects and other ad-hoc reporting as needed.
  • Manage, coach, train, and mentor junior team members in analytical techniques, client management, and content for executives and Board members.
  • Support recruiting efforts and contribute to team culture and employee development.
  • Performs other duties and responsibilities as assigned.

Education/Experience

  • Master's degree in Finance, Economics, Accounting, Engineering, Mathematics, or a similar field.
  • 3 years in financial accounting due diligence, business valuation, bank underwriting, and/or data analytics.
  • Solid understanding of basic financial statements, including the balance sheet, income statement, and statement of cash flow.
  • Experience with SQL or Power BI is recommended.
  • Professional certifications related to finance (CFA, CPA, CMA, ASA) are advantageous but not required.
  • Preferably experience from Big 4 or top accounting firms, business valuation firms, or due diligence firms.
  • Experience in high-value acquisitions with enterprise values in excess of $10 million.
  • Exceptional analytical and critical thinking skills.
  • A strong desire to develop analytical and predictive models.
  • Must be proficient in the Microsoft Office Suite, including Outlook, Excel, PowerPoint and Word

The workplace is in a corporate office environment and the temperature in the work environment is usually moderate. The position’s primary office is the Shared Services, Irving, TX office; however, telework or work at home, on the road, or in a satellite location for portions of the workweek may occur, depending upon project needs and requirements in coordination with your direct supervisor and/or most senior leader of your department. Occasional travel may be required.

Salary ranges listed are dependent upon a candidate’s qualifications, experience, internal equity, and the budgeted amount for the specific role and location.
