Major, Lindsey & Africa’s Interim Legal Talent group has an immediate need for a Senior Paralegal.
Overview: MLA is seeking a temp-to-perm Senior Paralegal to provide critical support to a fast-paced Investment Management Legal Department, with a focus on Investment Company Act–related matters. This role is responsible for coordinating SEC filings (including Forms N-1A, N-2, N-CSR, and N-PORT), supporting fund governance, and maintaining corporate records for registered investment vehicles. The Senior Paralegal also assists with fund-related agreements, including distribution and ISDA documentation, and serves as a key liaison between internal stakeholders and external service providers. The ideal candidate is a highly organized, detail-oriented, and proactive self-starter who can effectively manage multiple priorities in a dynamic environment.

Location: On-site – Chicago, Naperville, New York, San Francisco, Coral Gables
Responsibilities Include:
- Draft and file SEC regulatory filings, including registration statements on Forms N-1A and N-2, and provide legal support for periodic filings, including Forms N-CSR and N-PORT
- Coordinate Board of Trustees meetings, including drafting meeting agendas, materials, resolutions, and minutes, and liaise with members of the Board regarding meetings and follow-up matters
- Coordinate closed-end fund shareholder meetings, including working with the proxy solicitation firm and transfer agent and coordinating other meeting-related requirements
- Maintain and organize minute books and corporate records for all Investment Company Act–registered pooled investment vehicles, ensuring accuracy and regulatory compliance
- Assist attorneys in the drafting, review, and administration of fund-related agreements, including distribution, servicing, and other vendor contracts
- Serve as a liaison between the Legal Department and other departments and outside service providers and legal counsel
- Assist in reviewing ISDA agreements and other derivatives-related agreements
- Review and complete Request for Proposal (RFPs) and Due Diligence Questionnaire (DDQs)
- Support in-house counsel on special projects, including corporate, investment adviser, private fund, global fund, real estate, regulatory and internal audits, closing binders, due diligence materials, insurance, etc.
- Provide administrative support functions related to the paralegal function, including but not limited to, editing/revising documents, filings, scheduling meetings, etc.
- Handle confidential and sensitive information including contracts, offerings, litigation, meeting notes with the utmost discretion
- Conduct legal research on a variety of topics
Qualifications Include:
- Bachelor’s degree required and Paralegal Certificate from an ABA- accredited program
- At least 8 years of corporate paralegal experience, including in a financial services organization managing matters related to Investment Company Act 1940, board governance and regulatory filings
- Experience with financial printer content management systems used to prepare fund registration statements
- Comprehensive computer skills in Microsoft Word, Excel, PowerPoint, and Outlook
- Familiarity with Diligent board book software
- Familiarity with Claude would be a plus
- Must have excellent research and drafting skills
- Must have exceptional attention to detail and tremendous organizational skills.
- Strong oral and written communication skills
Pay Rate: $62/hour
